MORROW MEDICAL TERMS OF USE

Longevity & Lifestyle Medical Pte. Ltd. (UEN 202244817Z), is licensed to provide outpatient medical services and is operating under the “MORROW Medical”  brand (referred to as “MORROW Medical”, “us”, “we” or “our”, as the case may be), through the MORROW Medical website (morrowmedical.com.sg) or any other related websites, members portals, the MORROW™ mobile application (such as for iPhone or Android), its various functionalities and its content (the “Site”) and at our physical premises (the “Venue”).

We provide healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers to customers and potential customers (“you” or “your”) on the Site or at the Venue, including Healthcare Services and Healthcare Products (collectively, the “Services”). The Services may be provided by us, our related companies, Healthcare Providers on our panel or Partners. “Partners” include third party vendors, suppliers or delivery service providers of any products, services and solutions you purchase.

  1. Terms of Use
    These terms and conditions (the “Terms”) govern your access to and use of the Services on the Site and at the Venue, and create a legally binding contract between MORROW Medical and you. These Terms only apply to the Services made available by us on the Site and at the Venue. Other products, services, functionalities and content made available on the Site or at the Venue may be owned or operated by our related companies and which have their own terms and conditions (the “Related Terms”). By continuing to use the Site and access the Venue, you accept these Terms and the Related Terms, including any changes that may be made to them from time to time. If you do not wish to be bound to these Terms and the Related Terms, your only option is to cease using the Site and the Services. You are responsible for all telephone and/or Internet service provider charges you incur as a result of accessing the Site.

  2. Site User Requirements
    The Site is intended for users 18 years of age and older.  By accessing and/or using the Site and the Services, you represent that you are: (1) 18 years of age or older; (2) of legal age to use the Site; and (3) of legal age to enter into a binding contract as it relates to these Terms.

    If you are between the ages of 18 and 20, you may sign up for a membership and use the Services with the appropriate written consent and signature of a parent or an adult legal guardian. For the purpose of this Agreement, “you” includes reference to any parent / legal guardian of a minor / ward that is below 21 years of age (as the case may be).

    You agree that the information you provide to us at sign up and at all other times will be true, accurate, current and complete and that you will keep this information accurate, complete and up-to-date at all times. When you sign up, you will be asked to create a password. You are solely responsible for all activity that occurs under your account, including any activity by unauthorised users. To access and use the Site you must have access to the Internet and may be required to download the MORROW™ mobile application to use some or all of the features. You are solely responsible for providing your own access (e.g., computer, mobile device, Internet, etc.) to the Site and Services (where applicable).

    The availability of all or part of the Site and/or Services may be limited based on geographic, age, or other criteria as we may establish from time to time. You understand and agree we may disallow you from using or accessing the Site and/or the Services, or may terminate your membership at any time based on these criteria.

    You are responsible for maintaining the confidentiality of any account information needed to reserve or purchase the Services and agree to notify MORROW Medical if this access information is lost, stolen, or otherwise compromised. You are responsible for all activities that occur under your account.  

    Where required, MORROW Medical reserves the right to require proper proof of identity (e.g. passports or national identity cards) from all persons using the Venue or any facilities. MORROW Medical has the absolute discretion to deny any service if the identity does not match with the person mentioned in your reservation or if anyone refuses to provide the requisite proof of identity to MORROW Medical. We reserve the right to cancel or modify at our sole discretion any reservations that have been made in breach of the Terms or for false, fraudulent or unauthorised purposes.

    ACCESS TO OUR SITE IS NOT PERMITTED FROM OTHER JURISDICTIONS. THESE TERMS ARE ONLY APPLICABLE TO USERS IN SINGAPORE. THE SITE IS NOT AVAILABLE TO ANY USERS SUSPENDED OR REMOVED FROM THE SITE. BY USING THE SITE, YOU REPRESENT THAT YOU ARE A RESIDENT OF SINGAPORE, AT LEAST 18 YEARS OLD AND HAVE NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED. THOSE WHO CHOOSE TO ACCESS THE SITE DO SO AT THEIR OWN INITIATIVE AND ARE RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS WHICH APPLY TO YOU.

  3. Additional Terms
    By using this Site and accessing the Venue, you agree to be bound by all of our and any applicable third parties’ terms and conditions, privacy policies and any other FAQs, policies, code of conduct that may apply.  In connection with making such reservations and purchases, you may have to leave the Site and go to sites maintained by such third parties.

    Online reservations and purchases for products and services through the Site which are not covered under our license are handled by MORROW Health Pte. Ltd. (UEN 201943415D) (“MORROW”). When making reservations and purchases through the site maintained by MORROW, you will be bound by the Related Terms including MORROW’s additional terms relating to membership, service charges, taxes and deposits, and policies regarding cancellation and refunds (where applicable).

    Our Privacy Statement, which can be viewed at https://morrow.health/privacy-statement, are incorporated in these Terms by reference. By providing your information or creating an account, you agree that MORROW and MORROW Medical may contact you by email, direct mail, telephone or text messages at any of the addresses or phone numbers, as applicable, provided by you or on your behalf, including for marketing purposes. You may opt-out of marketing emails via the provided unsubscribe link or otherwise opt-out by contacting us at any time.

    Our Privacy Statement also applies to any personal data you have provided to us both online and in person (whether on the Site or at the Venue), or through our related companies, Healthcare Providers (defined below), Partners and other service providers.

  4. Data Transfer
    As we operate via overseas service providers or applicable third parties, it may be necessary to transfer your information to a country outside of the country where it was originally collected or outside of your country of residence or nationality. These countries may have data protection laws that are different from the laws of your country. However, we have taken appropriate safeguards to require that your personal data will remain protected in accordance with our Privacy Statement.

  5. Changes to Terms and Conditions
    MORROW Medical reserves the right to change these Terms at any time without notice to you, except where such notice may be required by applicable laws, depending upon the nature of the changes made. By using the Site subsequent to any change of these Terms, you agree to be bound by such change.

    Unless we provide a delayed effective date, all amendments will be effective upon posting of such updated Terms. Your continued access to or use of the Site and Services after such posting constitutes your consent to be bound by the Terms, as amended.

  6. MORROW Platform Membership Terms
    The MORROW public website and/or members portal and/or MORROW™ mobile application maintained by us or our related companies (collectively, the “MORROW Platform”) enables consumers to access the Services, and other fitness, recreational and wellness products and services offered and/or operated by our related companies or other third parties. You agree to be bound by the following membership terms and any other such terms that may be published or communicated to you from time to time:

    1. Membership Options. There are a number of ways to participate in the Services through the MORROW Platform, such as various membership packages (“Membership”), promotional plans and one-off purchases. These options consist of different services and features and may be subject to additional and differing conditions, prices, policies and limitations. We reserve the right to modify, terminate or otherwise amend our offered options and plans at any time in our discretion. We may but have no obligation to permit non-subscribers to access certain Services, content or features for a cost or at no cost from time to time. We make no commitment on the quantity, availability, type or frequency at which such Services, content and features will be available to non-subscribers and may modify, discontinue, remove or suspend access at any time and for any reason in our sole discretion.

    2. Membership Account. To enjoy full access to the Site, Venue and the Services, you will need to sign up for a membership account and pay a non-refundable membership fee (“Membership Fee”) for the relevant membership package selected. If you are a guest, you will also need to sign up for a membership account in order to gain access to the Site, Venue or Services for the relevant period. Unless as expressly set out herein or in any other terms or FAQs published on the MORROW Platform, your membership commence on, the date full payment of the membership fee is received by us, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You are able to make online reservations and purchases once you have signed up for a membership account. Your account is personal to you and you agree not to create more than one account. You cannot transfer or gift Credits to third parties or allow third parties to use your account, including other MORROW Platform users. You must not use or exploit the Site and/or Services for non-personal or commercial purposes. You understand and agree that we may take actions we deem reasonably necessary to prevent fraud and abuse.

    3. Membership Packages Payments. You may opt for an upfront annual payment or monthly instalment payment plan of your Membership Fee via a valid Payment Method. You must provide us with a current, valid, accepted method of payment (“Payment Method”). We shall have the sole discretion to update the accepted methods from time to time. Unless we otherwise communicate a different time period to you at the time of sign up or otherwise, each billing cycle is either on a monthly or annual basis (a “Membership Cycle”). Your Membership Fee will be up for renewal at the end of each Membership Cycle. Prior to your Membership Cycle expiry, MORROW will contact you regarding the renewal of your membership. This will continue for each subsequent Membership Cycle until your Membership is cancelled or terminated.

    4. Use of Credits. Depending on the membership package you choose and purchase, you may be allotted service-specific credits to be used solely to make online reservations and purchases during each Membership Cycle (“Credits”). You can choose how you use your Credits across the various Services made available on the Site, unless there are specific limitations or restrictions communicated to you.

    5. Expiry of Credits. Credits for each service expire at the end of each Membership Cycle, meaning that any Credits for each service you do not use during the applicable Membership Cycle will not roll over into future Membership Cycles, unless we expressly communicate otherwise. You can check the time period left in each Subscription Cycle in your MORROW Platform account. If your Membership is cancelled or terminated, all unused Credits, including both current Membership Credits and any rollover Credits, will expire immediately. There will be no refund or
      payment for any unused amount. In order to use any Credits, you must have an active, paying membership account.
       

    6. Credits and purchased items are non-transferrable and cannot be exchanged. Credits and purchased items have no cash value or any other value outside of the MORROW Platform and are not redeemable for cash. You may not transfer, trade, gift or otherwise exchange any Credits and purchase items with any third parties including any users of the MORROW Platform.

    7. Credit Allocation. The number of Credits needed to book a particular Service will vary and is determined based on a variety of factors, including but not limited to the nature of the service, time of day, equipment, facilities, pricing and popularity. Certain Venue such as services provided by MORROW Medical or other service providers may require more Credits for its Services offered. MORROW Medical reserves the right to change the number of Credits you receive, the number of reservations you can make and other requirements.

    8. Services Availability. MORROW Medical does not guarantee the availability of the Services and its availability may change over time and at any time (including during the course of any given Membership Cycle). The type, quantity, Credits, allocation and availability of Venue, activities and classes, and other inventory offered, are determined by us in our sole discretion.

    9. Online Services. We may allow you to access to a variety of audio or video Services from your computer or mobile device, via live stream and/or on demand. To access these online Services, you need to comply with certain technical and hardware requirements. The recommendations and goals provided through these online Services may not be right for you and it is solely your responsibility to make sure that you participate in the manner and at the intensity level that is right for you. If you participate in a group activity or class, you consent to your personal data and confidential medical information, including sensitive health information, being shared, displayed and shown to other users participating in the said group activity or class.[LI3] [CL4]  Otherwise, you will need to inform us or the service provider prior to the commencement of the said group activity or class.

    10. Non-Membership Purchases. We may permit you to purchase certain Services through the Site, in addition to your Membership or without having a Membership. You acknowledge and agree that these Terms and Related Terms apply to any such purchase you make, and you will be responsible to pay the applicable fees, which may change from time to time.

    11. Co-Memberships. We may permit you to sign up for a co-membership that provides you with a membership to MORROW Medical as well as a membership to MORROW, a third party Venue or other such third party service provider (“Venue Membership”). If you sign up for a co-membership, you will be subject to these Terms as well as additional terms applicable to the Venue Membership. You understand and agree that we do not own, operate or control the Venue Membership and is not responsible for the Venue Membership, which is provided entirely by MORROW, the applicable Venue or such third party service provider.

    12. Reservations in Good Faith. You agree that you will make only legitimate reservations or bookings in good faith for use by you and not for other purposes, including without limitation, reselling, posting, advertising or marketing reservations (whether online or otherwise) to third parties including online agents, third-party owned websites, or travel agents. Such unauthorised resale, posting, advertising or marketing on third-party websites, or making speculative, false or fraudulent reservations or purchases may result in suspension or termination of your account and reservations or purchases (as the case may be).

  1. MORROW Platform Payment Terms

    1. Applicable Fees. In addition to any membership fees, you authorise us to charge you any other fees you may incur in connection with your use of the Site, Venue and the Services, such as any applicable sign-up fee, taxes and cancellation or late fees, as explained below. Even if you do not use the Membership or access the Site, Venue and/or Services, you will be responsible for Membership Fee and any other applicable fees until you cancel your Membership, or it is otherwise terminated.

    2. Billing. By making payment for your first membership package, you authorise us to charge you for your initial Membership Cycle. We will contact you towards to the end of your Membership Cycle regarding the renewal of your Membership. If you agree to renew your Membership, we will charge you your Membership Fee using the Payment Method at the applicable rate (which we reserve the right to change from time to time) for the next Membership Cycle. You acknowledge that the fees payable for each Membership Cycle may vary due to applicable promotional offers and/or changing to a different membership package.

    3. Membership Cycle. When you sign up and purchase a membership package, the first Membership Cycle will be billed immediately. Unless we expressly communicate otherwise, you will be billed on the same date each month (in the case of payment on a monthly basis) or year (in the case payment on an annual basis upon renewal). We reserve the right to change the timing of our billing (and if we do, we will pro-rate the amounts we charge, as appropriate). In the event your paid Membership began on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. Your Membership Cycle may change due to changes to your Membership such as changes to a different membership package.

    4. Cancellation of Reservation. The cancellation policy of any reservation and purchase may vary depending on the membership package, service / product offering, or other criteria we may communicate to you from time to time. The cancellation policy will normally be provided to you along with the confirmation of your reservation. Any cancellation of your reservation of the Services through the Site must comply with the cancellation policy applicable to the reservation and the Venue. Notwithstanding the foregoing, it is our standard cancellation policy that in the event of a cancellation of your reservation of any Service less than 12 hours prior to the start time of the Service, or in case you fail to show up without a valid reason, it will be deemed as a used credit or a nonrefundable paid service. In the event of a cancellation of your reservation more than 12 hours prior to the start time of the Service, there will be a return of the credit used to your account.

    5. Cancellation of Membership. To notify us of a cancellation, you must send an email to us at connect@morrowmedical.sg (note that social media message, in-person conversations, text or phone call will not suffice) which details your name, email we have on file for you, cancellation date request and reason for cancelling. Once your membership is cancelled, you will lose any existing Credits, the right to access any or all Site content and features, and you will not be able to make reservations or purchase the Services until you sign up or purchase a new membership package. We reserve the right to charge a cancellation fee and any associated service fees, taxes and other charges as required by applicable laws to your Payment Method. There is a 5-working day cooling off period to seek a full refund of any payment made before the provision of any Services to you (“Cooling Off”) that begins, on the date of payment, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You may terminate your Membership by delivering written notice to the email address mentioned above. The following charges are non-refundable in the event the Cooling Off period has expired:

      • all deposits paid;

      • all used Credits / services; and

      • any fees paid to third parties (such as payment processing fees).

      For special rate product offers, additional cancellation terms published on the offer booking page will apply. In the event of any inconsistency or conflict between the special rate product offer terms and the standard terms, the special rate product offer terms shall prevail.

    6. Refunds. Generally, our fees (including any trial or promotion fees, sign-up fee and deposits paid) are non-refundable unless we specifically communicate otherwise at the time of purchase. However, we will provide a refund to members for their current prepaid membership cycle only in the following circumstances: (i) if you are cancelling your membership and request a refund within 5 working days of, the date of your first payment for your membership, or where physical access to the Venue has not yet commenced, the date physical access to the Venue is first granted, or (ii) if your membership is cancelled prior to the end of a cycle for which you have incurred a charge, due to your relocation, disability or death; provided, however, in each case we reserve the right to charge a fee to cover the cost of any Services or other services or products you may have used or received prior to your cancellation and to ask for proof of such changed condition, to the extent permitted by law.

    7. Price Changes. We reserve the right to adjust pricing at any time. Unless we expressly communicate otherwise, any price changes to your membership will take effect on your next Membership Cycle upon notice communicated through a posting on the website, push notification via the MORROW™ mobile application, update on our social media platforms or such other means as we may deem appropriate from time to time, such as via your email.

    8. Payment Methods. You must provide valid credit/ debit card information (such as card type, card number, expiry date and the full name shown on the card) to MORROW Medical. You may choose to save your credit/ debit card details in your account for future use. This is optional and will expedite your future reservations and purchases made via the Site. The collection of your credit/ debit card details is subject to our Privacy Statement. It is your responsibility to update your credit/ debit card details on your account. You may update your Payment Method information by signing in to your account and updating it under your account settings. If a payment is not successfully settled by the due date, due to insufficient funds or otherwise, you will remain responsible for any uncollected amounts and authorise us to continue billing the Payment Method or any other payment method you have provided, as it may be updated, including in the event you attempt to create a new account, reactivate the unsettled account or sign up for a new account. This may result in a change to your payment billing dates. If we cannot charge your account, we reserve the right, but are not obligated, to suspend and/or terminate your access to our Site, the Services or any portion thereof. If your credit/ debit card is invalid or has expired, you may not be able to complete your reservation or make any purchases.

    9. Warranty. By providing your credit/ debit card information, you represent and warrant that (i) you are legally authorised to use the credit/ debit card you provided; (ii) you authorise us to charge you in full for all charges incurred by you and your invited guest (if applicable) or charged to your account for all products and services purchased by you and any damage or loss caused by you and your guest during your visit at the Venue (including without limitation, damage to any equipment, facilities and property); (iii) you authorise us to charge you in full the prepayment or advance purchase at the time of reservation; and (iv) you authorise us to charge any cancellation charges to your Payment Method.

    10. Disclaimer. While all reasonable security measures will be taken to secure your credit/ debit card information, you agree to hold us and our employees and officers harmless and release us from any actions, claims, liability, damage or loss resulting from any loss, release, compromise, or disclosure of your credit/ debit card information caused by malware attacks, phishing attacks, viruses, hacking activities, malicious software and any other unlawful interference of the Site’s operating system or unauthorised access by third parties.

    11. Fees Charged by Venue. In addition to fees we charge, the Venue may also charge equipment or other amenity fees that you will be responsible for directly. Further, the MORROW Platform only gives you access to the Services for which you signed up on the Site (and at the specified time and location). The Venue may charge additional fees for your access and use of other products, services, equipment and facilities.

    12. Third Party Fees. You are also responsible for all third-party charges and fees associated with accessing and using the Site and/or the Services, including fees such as internet service provider fees, telephone and computer equipment charges, sales tax and any other fees necessary to access the Site and/or the Services.

  2. Offers and Promotions
    We, our related companies and third party service providers, may offer discounts and other promotions from time to time, and such discounts and promotions are subject to additional terms and conditions that we or such applicable third parties may provide.

  3. Healthcare Services
    MORROW Medical is licensed to provide outpatient medical services and telehealth services on the Site and at the Venue (“Healthcare Services”) through healthcare providers who deliver the Healthcare Services (“Healthcare Providers”).

    In providing the Healthcare Services through the Healthcare Providers, you acknowledge and agree that:

    • To the extent that we refer third party Healthcare Providers to provide you with Healthcare Services, MORROW Medical is merely a provider of the referral, and shall not be deemed to have provided or engaged in Healthcare Services rendered by such third party Healthcare Providers. Neither MORROW Medical, our related companies, or our Partners shall be liable for any professional advice which you obtain from a third party Healthcare Provider. MORROW Medical, our related companies nor our Partners shall not be liable for any referrals made by a MORROW Medical Healthcare Provider to any third parties, including but not limited to specialists or laboratories.

    • You shall not record or publish (or cause to record or publish) in any form or on any media any interactions with us or any Healthcare Provider, unless you were provided with written consent.

    • You consent for us and the Healthcare Providers to record any interactions with you in accordance with our Privacy Statement and to retain a copy of your health records.

    • MORROW Medical does not, and shall not be deemed to, direct or control the independent clinical judgement or professional opinions of any Healthcare Providers, whether generally or in the Healthcare Provider’s provision of Healthcare Services under these terms. Each Healthcare Provider exercises his or her own professional judgment in the diagnosis, treatment, and care of patients, including in relation to any acts or omissions arising from such clinical decisions.

    • Any opinions, advice, or information expressed by a Healthcare Provider are based on the Healthcare Provider’s independent professional judgment and do not necessarily reflect the views or positions of MORROW Medical, our related companies, or our Partners.

    • You shall (i) comply with any directions or instructions given in relation to any prescription provided to you; (ii) promptly notify us or the Healthcare Provider of any side effects of any medication; (iii) check the labels of the medication prescribed to verify the medication matches the prescription before consuming the medication delivered; (iv) protect anything prescribed to you and not permit any other person access to the prescribed medication; and (v) not use any prescription after its expiry date.

    • You shall comply with any advice by any Healthcare Provider to consult a doctor or other healthcare professional in person or seek emergency or other treatment.

    • The Healthcare Services are intended to be provided to users in Singapore and MORROW Medical and the Healthcare Providers are not licensed and qualified to provide professional advice to users outside Singapore.

    You may select from the following Healthcare Services made available on the Site and/or at the Venue (as the case may be) from time to time:

    1. Health Screening Package(s) pre-booked on Site and/or carried out at the Venue;

    2. Long-term Individual Consultations and Discussion Groups, which may take place over a period of time such as 6 months to 1 year, depending on the Healthcare Provider’s recommendations; and

    3. Ad hoc Individual Consultations with a Healthcare Provider which may follow after a screening session or upon your request.

Health Screening Packages
- Certain screenings may have specific medical prerequisites (e.g., fasting requirements). It is your responsibility to review the FAQs or directions provided at the time of booking.

  • Health Screenings carried out at the Venue are subject to the Venue’s code of conduct and other policies. We reserve the right to refuse service if, in our absolute discretion:

    • You provide inaccurate medical history or if you are not suitable for the screening package selected.

    • You fail to follow pre-screening instructions (e.g., consumed food during a fasting window) or any directions or instructions provided by our staff.

    • You exhibit any behaviour that threatens the safety of yourself, staff or other patients.

  • The provision of a screening report does not, in itself, constitute an ongoing doctor-patient relationship beyond the scope of the screening. Results are indicative and should be reviewed with a qualified medical practitioner for a formal diagnosis. It is your responsibility to ensure that you book an individual consultation with the Healthcare Provider to follow-up on your screening report.

Long-term Individual Consultations and Discussion Groups
If you have made any booking or reservation for a Long-term Group Discussion and/or Individual Consultations, you acknowledge and agree that:

  • As a condition of us providing you with access to the discussion groups, you have to read, understand and sign the Group Consultation Consent Form or such other document that may be provided to you from time to time.

  • Long-term care requires consistent participation. Long-term services, whether delivered as Discussion Groups and/or Individual Consultations, are tailored based on the Healthcare Provider’s initial diagnosis. The duration (e.g., 6 or 12 months) is an estimate based on the Healthcare Provider’s clinical judgment and may be adjusted as the treatment or discussion progresses.

    • Individual Consultations: Sessions must be utilised within the agreed-upon timeframe. Unused sessions at the end of the term do not roll over unless expressly agreed upon in writing.

    • Discussion Groups: These are conducted in collaborative environments in-person at the Venue unless otherwise indicated that virtual / remote sessions through the Site if determined to be suitable. Participants agree to maintain the confidentiality and respect the privacy of other group participants. Breach of any confidentiality is a ground for immediate termination of service without a refund and you hereby indemnify us for any liability, loss, damages, penalty, expenses and costs (including attorney costs) arising out of or in connection with such breach of confidentiality or personal data protection.

    • If the Healthcare Provider determines that the service is no longer clinically appropriate for Group Discussions, the rest of your sessions will be converted into Individual Consultations and additional fees may be applicable.

Individual Consultations
If you have made any booking or reservation for a Long-term Group Discussion or Individual Consultation, you acknowledge and agree that:

  • All Individual Consultations are paid upfront and subject to the Healthcare Provider’s availability and acceptance in his/her sole discretion.

  • All Individual Consultations have to be attended in-person at the Venue unless otherwise indicated that you can select the teleconsultation functionality through the Site if determined to be suitable.

If you are using the teleconsultation functionality for consultations deemed suitable to be conducted in such a manner, you acknowledge and agree that:

  1. You may arrange and schedule video consultations with the Healthcare Providers;

  2. All requests for video consultation shall be subject to the Healthcare Providers’ availability and acceptance in his/her sole discretion;

  3. You shall ensure that (i) the internet connection to which your device is connected is of sufficient quality and strength to host a video consultation; (ii) the video consultation is conducted in a place that is well-lit and private and equipped with the necessary audio-visual equipment; and (iii) provide any information and documents to verify your identity and health condition;

  4. Once your request is accepted, the Site may provide the information and documents which you have provided to us to the Healthcare Provider, in accordance with our Privacy Statement. You agree to provide proof of identity (which includes a valid photo identification) and such information or documents as requested by the Healthcare Provider to verify your identity at the start of or at any time during the video consultation. You acknowledge that you may not be able to access or be provided with the Healthcare Services if you refuse to provide proof of identity or assume a false identity. We and the Healthcare Provider reserve the right to decline any request for video consultation in our or his/her absolute discretion;

  5. You acknowledge that there are inherent limitations to the use of video consultations. Therefore, in respect of emergencies and other medical situations, in person consultations may be a more appropriate medium for medical evaluation, diagnosis and/or consultation;

  6. Where you have a teleconsultation with a Healthcare Provider, you understand and agree that the professional advice provided shall be intended as a provisional opinion (or such second or further opinion) and shall be solely based on information you have provided before or during the video consultation. Such professional advice is not intended to be a substitute for an in-person consultation and/or treatment. It is advisable to seek further clarification, examination, diagnosis and/or an in-person consultation for a more comprehensive medical assessment before beginning any definitive treatment.

As a condition to use the Site and access the Venue, you agree that:

  • you are responsible for the correctness and completeness of the information provided to us and to the Healthcare Provider including your particulars, any existing allergy or medical condition, symptoms, health history, images, documents, test results or diagnostic images furnished/uploaded by you; 

  • you are responsible for providing the correct particulars and information requested to be eligible for any offers, promotions, gifts, or any applicable health insurance or corporate benefits. No refunds will be provided if you proceed with a transaction without the appropriate registration details;

  • you shall be personally liable for, and to pay, any fees or charges in accordance with any terms in effect at the time they are incurred;

  • you shall respectful and conduct yourself in an appropriate manner while interacting with us and the Healthcare Provider, and to only present or provide relevant information or images in relation to the Healthcare Services. Any such disrespectful conduct or inappropriate actions, which we shall determine in our sole discretion, may result in the suspension and/or termination of your account and/or deletion of such information and images from the Site;

  • you shall comply with all terms and conditions, privacy policies and any other FAQs, policies, code of conduct as set out on the Site and at the Venue published by us from time to time and below; and

  • you shall comply with all applicable laws.

MORROW Medical is required to comply with local healthcare, personal data, security and other applicable laws. Any information or documents you provide to the Healthcare Provider is subject to patient-doctor confidentiality.

You agree that to provide you with certain services, we will seek your consent before we collect certain additional personal data including for facial recognition, location tracking, research, to train our AI models and data sharing.

  1. Healthcare Products
    MORROW Medical makes available certain healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers (“Healthcare Products”) at the Venue. Healthcare Products at the Venue may be sold by us, our related companies or such third party suppliers (“Suppliers”).

You acknowledge that:

  • While we endeavour to provide an accurate description of the Healthcare Products, we do not warrant that such description is accurate, current or free from error;

  • The pricing or availability of the Healthcare Products may change at any time at MORROW Medical’s discretion. MORROW Medical shall not be responsible for any such changes;

  • You shall pay the product price, taxes and any other fees (where applicable) for the Healthcare Products and abide by all applicable payment terms as published on the Site or at the Venue from time to time or by MORROW Medical notifying you; and

  • The provision of any Healthcare Product is subject to availability. It is possible that in some instances a Healthcare Product may become unavailable. MORROW Medical may consult with you to replace the unavailable prescribed medication with any suitable substitute after consultation with the Healthcare Provider and you shall be liable for any price difference.

  1. Payment Terms for Healthcare Services and Healthcare Products
    In addition to any Related Terms, the following payment terms shall apply to you in relation to the use and purchase of any Healthcare Services and Healthcare Products:

    • In connection with your use of the Healthcare Services and Healthcare Products, you shall bear the following fees (collectively, the “Fees”):

      • for any consultations with Healthcare Providers, including any long-term group discussions or individual consultations, the relevant fees which shall be calculated based on the rates and/or packages as prescribed by MORROW Medical from time to time;

      • for any screening packages taken up, the screening package fees based on such prices as prescribed by MORROW Medical from time to time; and

      • applicable taxes. 

For the avoidance of doubt, MORROW Medical’s determination of the Fees shall be final, conclusive and binding on you.

If your health plan, insurer, employer or agency has arranged with MORROW Medical to pay the Fees or any portion of the Fees payable to MORROW Medical, or if the Fee payable is pursuant to some other arrangement with MORROW Medical, that fee adjustment will be reflected in the fee that you are ultimately charged.

If your health insurance coverage or employee benefits do not cover or is not sufficient to pay the Fees in full, you may be fully or partially responsible for payment. It is your responsibility to ensure that any Fees charged to your Account can be reimbursed through such health plan, insurer, employer or agency.

All Fees shall be paid in advance and are non-refundable unless it is provided for under any applicable terms as may be notified to you, and you further agree to bear all applicable fees and taxes payable thereon.

For avoidance of doubt, you agree to pay all Fees charged to your account in accordance with the Fees, charges, and billing terms in effect at the time the Fees are due and payable via your Payment Method.

We may use payment processing agents to process your payment of any Fees. When you provide us with your payment details, you authorise us and/or our payment processing agents to charge your Payment Method automatically upon the expiry of each payment period as applicable in relation to the Fees. If we cannot charge your Payment Method successfully, we reserve the right to immediately terminate the transaction and/or suspend access to your account.

In respect of the Healthcare Services and the Healthcare Products, you agree and acknowledge that the following policy applies to you:

  • Unless as otherwise expressly specified on the Site or at the Venue, you will not be entitled to a refund of any and all fees paid (i) in the event that you cancel a scheduled appointment less than 24 hours in advance or if you miss a scheduled appointment or (ii) in respect of any consultation that has either been completed or terminated by you.

  • For any cancellations more than 24 hours in advance, the following cancellation policy applies:

    • If you cancel a scheduled appointment less than 48 hours in advance, you are entitled to a free one-time rescheduling.

    • If you cancel a scheduled appointment more than 24 hours but less than 48 hours in advance, you may be charged an administrative fee to reschedule the appointment.

  • If you are late by less than 20 minutes for any scheduled appointment, we or the Healthcare Provider, at our absolute discretion, may allow you to attend the appointment at the fixed time allocated, or you may opt to be charged an administrative fee to reschedule the appointment.

  • If you are late by more than 30 minutes for any scheduled appointment, you are regarded as a no-show and there will be no refunds of any and all fees paid.

  • Any rescheduled appointments are subject to availability. For any scheduled appointment, the first time rescheduling is free if requested at least 48 hours in advance. Second and subsequent reschedules may incur an administrative fee.

  • To the extent permitted by applicable laws, in respect of the purchase of any Healthcare Products, unless as otherwise expressly specified at the Venue:

    • where applicable, the purchases are subject to our additional policy / FAQs on refunds and cancellations (where applicable) as published or notified to you from time to time;

    • Any requests made for exchanges or refunds are only allowed if the Healthcare Products are damaged or expired, or where the Healthcare Service rendered was not in accordance with the description at the Venue which shall be subject to MORROW Medical’s review on a case-by-case basis. In such an event, MORROW Medical may request for such supporting information and documents from you and you agree to cooperate in good faith. The decision to allow any exchange or refund is subject to MORROW Medical’s sole discretion.

  • In the event you are entitled to any refund for any reason in respect of any products or services on the MORROW Medical Platforms, you agree that MORROW Medical will in its sole discretion either (i) issue you with a refund to your account where any Credits are used or (ii) where the purchase was made using your Payment Method, credit the refund to the same Payment Method.

  • To the extent permitted by applicable laws, MORROW Medical is not responsible for any loss you have incurred as a result of any delay or failure to provide any exchange or refund to you.

  1. Use of the Venue and facilities
    All users of the Venue or any facilities to must abide by any additional terms such as FAQs, code of conduct, policies or other rules imposed by us. MORROW Medical and the Venue providers reserve the right to refuse admittance to or remove persons from the Venue or suspend use of any facilities for failure to comply with such additional terms. 

    We reserve the right, at our sole discretion, to terminate, restrict, or suspend your access to the Venue or any facilities at any time, without any liability to you or any other person, for any reason including but not limited to operational needs or unforeseen circumstances.

    MORROW Medical reserves the right to cancel your scheduled appointment and release your reservation to use and access the Venue or any facilities if you do not arrive within 20 minutes after the start time.

    MORROW Medical reserves the right to cancel your scheduled appointment 24 hours prior to the start time if there are insufficient persons attending any group activity or class which you have reserved.

    You are advised not to bring expensive jewellery, precious goods or excessive amounts of cash to the Venue and you do so at your own risk. Please ensure that all items of value are always stored securely and not left unattended. To the extent permissible by law, we will not be liable for any loss of or damage to any property brought onto the Venue. In the event that we are found to be liable for any such loss or damage, we shall not be liable for such loss and damage to an amount exceeding the last Subscription Cycle bill you paid to us, to the extent permitted under the applicable laws.

  2. Intellectual Property
    Other than the exceptions specifically referenced in these Terms, all content on the Site is the property of MORROW Medical or the referenced third party, or is licensed and/or used with permission by MORROW Medical including, but not limited to, all proprietary information, content and materials, such as text, data, documents, messages, pictures, images, video, audio, graphics, links, icons, logos, designs, copyright, patents, trademarks, get-up, logos, trade names,  software codes and technologies or other electronic files (collectively, “Site Content”). No licence is granted in respect of those intellectual property rights. Your use of the Site does not grant, transfer to or confer upon you any right, title or interest in the Site Content.

    The owners of Site Content are intended beneficiaries of this Agreement and shall have the right to enforce this Agreement against you.

    You agree that you will not use the Site Content in any way whatsoever except for use of the services available on the Site in compliance with the Terms. The Site may only be used for personal and non-commercial purposes.  You must not print, copy, modify, publish, reproduce, distribute, re-transmit, transfer, upload, download, store, display in public, sell, licence, reverse engineer, decompile, or disassemble the Site Content without the prior written consent of MORROW Medical, save and except to the extent permitted by copyright laws and/or for the downloading and printing of the Site Content for personal record-keeping purposes only.

    You must also not engage in any conduct that infringes, violates or misappropriates any intellectual property rights of MORROW Medical or any other party, and such infringement, violation or misappropriation shall amount to a breach of the Terms.

    No permission or authorisation is granted to you to use, or permit others to use our icons, site addresses, or any other means to hyperlink other Internet sites with any page in the Site unless specifically permitted by us in writing.

    You can send your comments, suggestions, ideas, or feedback concerning the Site or any of the services made available to you on the Site or to our staff at any physical locations (“Feedback”). You agree that if you provide any Feedback to us, we will own all right, title and interest in and to the Feedback, even if such Feedback is provided in confidence. We will be entitled to use the Feedback without restriction. You irrevocably assign to us all right, title and interest in and to the Feedback and agree to provide us with any assistance we may require to document, amend and maintain our rights in any Feedback.

    We and/or the owners of any Site Content may, from time to time, remove any content from the Site without notice and liability to you.

  3. Links to Other Sites
    The Site may contain information on or links to third party websites (whether through hyperlinks to third party websites or otherwise) that are subject to the relevant terms and conditions of the third party owners. These links are provided solely for your convenience and do not indicate, expressly or impliedly, any guarantee, endorsement or recommendation by us for the linked websites or the products or services provided at those websites.  Please note that we are not responsible for the content of such websites or for the collection, use, maintenance, sharing, or disclosure of data and information by such third parties. Your access to any such websites is at your own risk and we advise you to check the terms and conditions and privacy policies of those other websites before using them and disclosing your personal data.

    If you click on these links, you will leave the Site. If you access the linked sites, you will be subject to the terms of use and other policies applicable to those linked sites. You visit the linked sites at your own risk and should consult the linked websites’ policies. Occasionally when linking to another website, you may still see the Site’s logo or frame. This is to provide you with a seamless experience when visiting the Site. In such cases, you are no longer on the Site and you should only link to a third party website if you are willing to accept responsibility for and the risks associated with, use of that website.  You will always know what website you are on by checking the location bar within your browser.

  4.   Prohibited Conduct
    The following conduct is strictly prohibited in connection with accessing or using the Site:

    • Harass, threaten, stalk, disrupt or defraud users, members or staff of MORROW Medical or any other person, or otherwise create or contribute to an unsafe, harassing, threatening or disruptive environment;

    • Act in a deceptive or fraudulent manner by, among other things, impersonating another person or access another user’s account or signing up for more than one account;

    • Share your account information including passwords with any third party or encourage any other user to do so;

    • Permit third parties to use any services booked under your own membership, including other users;

    • Reserve or cancel any services directly with a Venue, rather than through the Site;

    • Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of the Site or the Site Content;

    • Misrepresent the source, identity, or content of information transmitted via the Site, including deleting the copyright or other proprietary rights or notices from any portion of the Site or the Site Content;

    • Upload material (e.g. virus) that is damaging to computer systems or data of MORROW Medical or users of the Site or otherwise use the Site in any manner that could damage, disable, overburden, or impair it or interfere with any other party’s use and enjoyment of the Site;

    • Upload material that is not your own or that you do not have the legal right to distribute, display, and otherwise make available to others;

    • Upload or send to Site users pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content;

    • Decompile, reverse engineer or disassemble the Site, in whole or in part, except as may be permitted by applicable law;

    • Link to, mirror or frame any portion of the Site;

    • Cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Site or unduly burdening or hindering the operation and/or functionality of any aspect of the Site;

    • Attempt to gain unauthorised access to or impair any aspect of the Site and/or MORROW Medical’s computers, servers or networks, and/or any computers or systems used by other users of the Site, including but not limited to, circumvent Site security features or interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site;

    • Download any software from the Site unless such process is required and approved by MORROW Medical as part of using the Site;

    • Impose an unreasonable or disproportionately large network strain or denial-of-service attack on, or engage in any behaviour that disrupts the operation or performance of, the Site or MORROW Medical’s computer and/or network infrastructure;

    • Hack into or gaining unauthorised access to protected areas of the Site and/or MORROW Medical’s computers, servers or networks, and/or any computers or systems used by other users of the Site, including but not limited to, circumventing Site security features;

    • Make unsolicited offers, advertisements, proposals, or send junk mail or “spam” to users;

    • Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Site, any features that prevent or restrict use or copying of any content accessible through the Site, or any features that enforce limitations on the use of the Site or the Site Content;

    • Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site;

    • Modify the Site in any manner or form, nor to use modified versions of the Site, including (without limitation) for the purpose of obtaining unauthorized access to the Site;

    • Use any robot, spider, scraper, or other automated means to access the Site and data for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site;

    • Use the Site for or in connection with any purpose that is unlawful or prohibited by these Terms; and/or

    • Violate or encourage anyone else to violate, any applicable laws or regulations.

  5. Suspension or Termination by MORROW Medical
    If you fail to comply with these Terms, without prior notice and without any liability to you or any other person, we reserve the right to take all or any of the following actions:

    1. cancellation or modification of your reservation(s) or transaction(s);

    2. issuance of a warning to you;

    3. termination, restriction or suspension of your use of or access to any or all part of the Site and the Services, and/or bar any further access to your account information and the Site / Services. This includes the right to terminate or modify any subscription prior to the end of any pre-paid or committed period;

    4. commencement of legal action against you; or

    5. disclosure of information about you to law enforcement authorities as we may determine in our sole discretion.

The above is not exhaustive. We may take any other action in our absolute discretion. 

We shall have no liability for, and you shall have no recourse for, any such termination or deactivation, except as set forth in the following sentence. If you are member, then upon any such termination by us without cause, as your sole recourse, we will issue you a pro rata refund of the prepaid portion of your subscription applicable to future unused services (less any fees or costs for services already used).

For completeness, if we determine that you have failed to comply with these Terms or otherwise engaged in illegal or improper use of your membership, Venue, Services and/or the Site, you will not be entitled to any refund and you agree that we will not be responsible to pay any such refund. You agree that we and our third party service providers will not be liable to you or any third party for any termination or modification to the service regardless of the reason for such termination or modification. You acknowledge that your only right with respect to any dissatisfaction with any modification or discontinuation of service made by us is to cancel or terminate your subscription. If we delete your account for these reasons, you may not re-register for or use the Site and/or Services under any other user name, email, payment method or profile. We may block your access to the Site to prevent re-registration.

MORROW Medical reserves the right in its sole discretion, without notice and reason, to refuse service, remove or edit content on the Site, cancel orders or reservations, disable the Site and any or all of its features, or terminate your membership and access to the Site. This includes the right to not give any effect to any reservation or orders you make through the Site. You agree that MORROW Medical is not liable to you or any other third party for these actions. 

  1. Indemnity
    You agree to indemnify and keep us, our parent company, subsidiaries, affiliates, officers, directors, representatives, employees and agents indemnified from and against any liability, loss, claim, dispute, demand, damage or cost (including without limitation legal fees) arising out of or in connection with your misuse of the Site, Services, violation of these Terms, violation of applicable laws, violation of the rights of any other person or entity, or any breach of any information or content which you submit, post, transmit, communicate, send, publish, upload or otherwise make available, or any action taken by us either as part of our investigation of any suspected breach of these Terms or as a result of our finding or decision that a breach of these Terms has occurred.

  2.   Disclaimer of Warranties; Limitation of Liability
    In relation to the Healthcare Services and the Healthcare Products and to the maximum extent permitted by applicable laws, you irrevocably agree and acknowledge that:

    • we do not warrant or make any representations that the Site is the appropriate channel of consultation for your particular healthcare issues, or meets your specific requirements. MORROW Medical disclaims any liability for any use of the Site for the provision of any emergency services or where diagnosis or treatment-in-person is required. You should also consult a doctor in person or contact your local emergency services immediately if your medical condition is not minor or cannot be diagnosed or treated without a physical consultation, or otherwise falls within the following scope of conditions including: (i) urgent care or emergency conditions; (ii) serious conditions (e.g. breathlessness, severe or persistent pains, cardiac arrest); (iii) chronic conditions which have not been previously diagnosed by a doctor; (iv) any condition deemed during a video consultation via the Site to be in need of a physical consultation for further clarification, examination, diagnosis and/or treatment; (v) any condition requiring further investigations including but not limited to laboratory tests, and imaging modalities; (vi) conditions that cannot be adequately assessed through teleconsultation (e.g. suspected stroke or pneumonia); and/or (vii) require specific types of medication (e.g. controlled drugs, medication with addictive potential such as codeine-containing products, opioids, hypnotics or benzodiazepines); (viii) conditions requiring specialist procedural intervention (e.g., endoscopy, interventional cardiology, surgical consultation); (ix) acute psychiatric emergencies including suicidal ideation, acute psychosis, or severe behavioral disturbance; (x) infectious diseases requiring isolation or notification to authorities under the Infectious Diseases Act; (xi) conditions in patients under 18 years of age (xii) pregnancy-related medical conditions requiring obstetric care; (xiii) acute toxicology or overdose situations.

    • you may be issued with a prescription for medicine by a Healthcare Provider and may be prompted to use delivery services for delivery or fulfilment of prescription medicines. You are under no obligation to purchase any prescribed medication. The Healthcare Provider will prescribe medicine appropriate for your condition based on the medical history you have provided and the symptoms you have described. MORROW Medical shall not be responsible for (i) ensuring that you receive the medicine you are prescribed or that the medicine you receive is the same as that prescribed by Healthcare Provider; and (ii) any instructions in relation to the medication provided by the Healthcare Provider or anyone else associated with the provision of medication you have been prescribed;   

    • we are not responsible for any of the information made available or accessed on or through the Site or at the Venue or any decisions made by you based on any information made available or accessed on or through the Site or at the Venue;

    • we do not endorse or recommend any specific tests, physicians, products, procedures, opinions, or third parties, or other information that may be mentioned on the Site or at the Venue and that any arrangement entered into between you and any Healthcare Provider or any third party named or linked to or from the Site is at your sole risk and responsibility. The inclusion of Healthcare Providers on the Site or at the Venue and any referrals to any third party does not imply recommendation or endorsement of such party nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any professional or service provider contained therein;

    • we are not responsible for any acts or omissions or conduct of any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site or the Venue, including but not limited to referrals to any specialists or laboratories;

    • the Site (together with any Services, or other content, material or information available on the Sites and/or Application) are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. Your use of the Site and/or the Venue is at your own risk;

    • the Site may use transmissions over the Internet which are never completely private or secure. You understand that any personal data, message or information which you send in the course of the use of the Site may be made public on the Site, and read or intercepted by others

MORROW Medical, its affiliates and its Partners are not liable for:

  • the potential and inherent risks associated with remote medical consultation and prescription through a device, including without limitation: (i) the information transmitted by you or the Healthcare Provider may not be sufficient or accurate (e.g. poor lighting or sound) to allow for appropriate healthcare decision making, thus necessitating consultation with a doctor in person; (ii) reliance on self-measurement and reporting of symptoms, including body temperature, blood pressure and weight, may result in inaccurate evaluation and diagnosis; (iii) a lack of access to all your health records; and/or (iv) software, hardware, or data transmission problems or failures may impede, or cause disputes or delays in, evaluation, diagnosis or treatment;

  • any loss caused to or damage incurred or suffered by you or any person by reason of or arising from or as a consequence of any unauthorised use of your account and/or the Site, Venue or Services, performing any transactions, purchase and/or arrangement of delivery of product, and obtaining and/or making any payment of any monies belonging to you;

  • any loss caused to or damage incurred or suffered by you or any person by reason of your erroneous, wrongful or fraudulent uploading of information, images, laboratory test results or diagnostic images, or provision of information by you to the Site or the Healthcare Provider for the purposes of your use of the Site or the Services;

  • any loss, damage or liability which may arise in connection with the services offered by any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site, including services provided by the Healthcare Providers, any specialists or laboratories;

  • personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, corruption or loss of data, failure to transmit or receive any data, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Site or any third party software or applications in conjunction with the Site, howsoever caused, regardless of the theory of liability (contract, tort or otherwise) and even if we have been advised of the possibility of such damages;

  • for the actions or inactions of any providers of Services in relation to you, your activities or for or in connection with Services; and

  • any suspension, discontinuation, upgrade or modification to the Site or its functionalities which we may carry out from time to time without giving any reason or prior notice to you which affects your use of the Site and the Services.

MORROW MEDICAL DOES NOT WARRANT AND HEREBY DISCLAIMS ANY REPRESENTATION, WARRANTY OR TERM WITH RESPECT TO THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO (I) MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS, OR AS TO THE ACCURACY, CORRECTNESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT OF OR COMPLIANCE WITH ANY LAWS, REGULATIONS AND/OR THIRD PARTY RIGHTS IN CONNECTION WITH THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES; (II) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING AVAILABLE AT ALL TIMES, UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE OF ALL VIRUSES AND/OR OTHER HARMFUL ELEMENTS; (III) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE FROM ANY UNAUTHORISED ACCESS, INTERVENTION, HACKING, SABOTAGE, FRAUD OR INFILTRATION BY THIRD PARTIES; AND (IV) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING COMPATIBLE OR WORKING WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS, DEVICES OR THIRD PARTY SERVICES.

IN NO EVENT WILL MORROW MEDICAL, ITS AFFILIATES OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, BE LIABLE FOR ANY LOSSES, DAMAGES AND LIABILITIES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ACTUAL, OR OTHER INDIRECT DAMAGES, INCLUDING LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES EVEN IF MORROW MEDICAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES, ARISING OUT OF ANY MATTERS OR CLAIMS YOU MAY RAISE RELATING TO THE SITE AND/OR PURCHASE OF, PARTICIPATION IN, AND/OR USE OF ANY SERVICES) INCLUDING BUT NOT LIMITED TO WITH RESPECT TO BODILY INJURY, PHYSICAL HARM, LOSS, ILLNESS, DEATH OR PROPERTY DAMAGE. 

IN NO EVENT WILL THE COLLECTIVE LIABILITY OF MORROW MEDICAL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, EXCEED THE GREATER OF SGD 50 OR THE AMOUNT YOU PAID TO MORROW MEDICAL, IF ANY, FOR THE APPLICABLE SERVICE OUT OF WHICH THE LIABILITY AROSE.  IF ANY OF THE LIMITATIONS CONTAINED HEREIN ARE CONTRARY TO APPLICABLE LAW (SUCH AS, CONSEQUENTIAL, OR INCIDENTAL DAMAGES), MORROW MEDICAL’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW.

For avoidance of doubt, the exclusions and/or limitations of liability in these Terms shall not apply to the extent that such exclusions and/or limitations are prohibited by applicable law, including liability for death or personal injury arising from MORROW Medical’s negligence.

  1. Marketing Communications
    By using this Site, you consent to receiving direct marketing and promotional communications from us. Accordingly, we will send you either via emails, SMS messages, push notifications, telephone calls, post, or social media (e.g. Instagram and Facebook) marketing and promotional information that we think may be of interest to you. You may opt-out from receiving further marketing communications from us at any time by following the unsubscribe instructions contained in the marketing communications.

    Except as limited by our Privacy Statement or applicable laws, with respect to all communications you make to MORROW Medical, such as through telephone calls or emails sent via the “Contact Us” link and including but not limited to Feedback or questions: (1) you have no right of confidentiality in your communications; (2) we have no obligation to protect your communications from disclosure and are free to reproduce, disclose and distribute your communications to others; and (3) we are free to use any ideas, concepts, know-how, content or techniques contained in your communications for any purpose whatsoever, including but not limited to the development, production and marketing of products and services that incorporate such information.

    When you make an appointment with us, the Healthcare Provider and other service providers will have access to certain information about you, such as your name and email address, so it can provide services to you, communicate with you regarding the Services you reserved and send you other communication that may be of interest to you such as marketing offers.

  2. Governing Law; Dispute Resolution
    Any disputes relating to these Terms, the Site and the Services are governed by, and will be interpreted in accordance with, the laws of the Republic of Singapore, without regard to any conflict of laws provisions.  You irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the courts of the Republic of Singapore for any litigation or disputes arising out of or relating to the use of the Site, waive any objection to the venue of any such litigation or disputes in Singapore courts, and agree not to plead or claim in any Singapore court that such litigation brought therein has been brought in an inconvenient forum.

  3. Miscellaneous
    If any part of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms, all of which will remain in full force and effect. The invalidity of any term is limited to the jurisdiction where such term was deemed to be invalid.

    No waiver of any of these Terms by MORROW Medical is binding unless authorised in writing by an executive officer of MORROW Medical. In the event that MORROW Medical waives a breach of any provision of these Terms, such waiver will not be construed as a continuing waiver of other breaches of the same nature or other provisions of these Terms and will in no manner affect the right of MORROW Medical to enforce the same at a later time. Further, in the event we choose to grant an exception to these Terms, any such exception is in our sole discretion and does not entitle you or anyone else to any exceptions in the future for similar circumstances.

    In addition to any sections with specific language regarding survival, the proprietary rights, disclaimer of warranties, representations made by you, indemnities, and limitations of liability shall survive the termination of these Terms.

    These Terms, the Related Terms and any additional terms and conditions as incorporated herein as each may be amended from time to time, form the entire agreement between you and MORROW Medical relating to the subject matter herein.

    By clicking “CONFIRM PURCHASE,” “SUBMIT”, “DOWNLOAD”, “PLACE MY ORDER”, “I ACCEPT” or such similar links, it constitutes your agreement and intention to be bound by these Terms and the Related Terms. You hereby waive any rights or requirements under any applicable laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of Credits by other than electronic means.

    Neither MORROW Medical, our related companies nor any third party service providers shall be liable for delay in performing obligations or for failure to perform obligations under these Terms if the delay or failure resulted from events, causes and circumstances beyond its reasonable control, including but not limited to, acts of God, governmental acts (including directives issued by regulators and amendments to legislation), shut down or failure of telecommunications facilities or networks, failures or acts of application distributors, failure of information technology or telecommunications equipment or facilities, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, epidemics, flood, fire, explosion, accident, civil commotion, industrial dispute, or impossibility of obtaining materials.

MORROW MEDICAL TERMS OF USE

Longevity & Lifestyle Medical Pte. Ltd. (UEN 202244817Z), is licensed to provide outpatient medical services and is operating under the “MORROW Medical”  brand (referred to as “MORROW Medical”, “us”, “we” or “our”, as the case may be), through the MORROW Medical website (morrowmedical.com.sg) or any other related websites, members portals, the MORROW™ mobile application (such as for iPhone or Android), its various functionalities and its content (the “Site”) and at our physical premises (the “Venue”).

We provide healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers to customers and potential customers (“you” or “your”) on the Site or at the Venue, including Healthcare Services and Healthcare Products (collectively, the “Services”). The Services may be provided by us, our related companies, Healthcare Providers on our panel or Partners. “Partners” include third party vendors, suppliers or delivery service providers of any products, services and solutions you purchase.

  1. Terms of Use
    These terms and conditions (the “Terms”) govern your access to and use of the Services on the Site and at the Venue, and create a legally binding contract between MORROW Medical and you. These Terms only apply to the Services made available by us on the Site and at the Venue. Other products, services, functionalities and content made available on the Site or at the Venue may be owned or operated by our related companies and which have their own terms and conditions (the “Related Terms”). By continuing to use the Site and access the Venue, you accept these Terms and the Related Terms, including any changes that may be made to them from time to time. If you do not wish to be bound to these Terms and the Related Terms, your only option is to cease using the Site and the Services. You are responsible for all telephone and/or Internet service provider charges you incur as a result of accessing the Site.

  2. Site User Requirements
    The Site is intended for users 18 years of age and older.  By accessing and/or using the Site and the Services, you represent that you are: (1) 18 years of age or older; (2) of legal age to use the Site; and (3) of legal age to enter into a binding contract as it relates to these Terms.

    If you are between the ages of 18 and 20, you may sign up for a membership and use the Services with the appropriate written consent and signature of a parent or an adult legal guardian. For the purpose of this Agreement, “you” includes reference to any parent / legal guardian of a minor / ward that is below 21 years of age (as the case may be).

    You agree that the information you provide to us at sign up and at all other times will be true, accurate, current and complete and that you will keep this information accurate, complete and up-to-date at all times. When you sign up, you will be asked to create a password. You are solely responsible for all activity that occurs under your account, including any activity by unauthorised users. To access and use the Site you must have access to the Internet and may be required to download the MORROW™ mobile application to use some or all of the features. You are solely responsible for providing your own access (e.g., computer, mobile device, Internet, etc.) to the Site and Services (where applicable).

    The availability of all or part of the Site and/or Services may be limited based on geographic, age, or other criteria as we may establish from time to time. You understand and agree we may disallow you from using or accessing the Site and/or the Services, or may terminate your membership at any time based on these criteria.

    You are responsible for maintaining the confidentiality of any account information needed to reserve or purchase the Services and agree to notify MORROW Medical if this access information is lost, stolen, or otherwise compromised. You are responsible for all activities that occur under your account.  

    Where required, MORROW Medical reserves the right to require proper proof of identity (e.g. passports or national identity cards) from all persons using the Venue or any facilities. MORROW Medical has the absolute discretion to deny any service if the identity does not match with the person mentioned in your reservation or if anyone refuses to provide the requisite proof of identity to MORROW Medical. We reserve the right to cancel or modify at our sole discretion any reservations that have been made in breach of the Terms or for false, fraudulent or unauthorised purposes.

    ACCESS TO OUR SITE IS NOT PERMITTED FROM OTHER JURISDICTIONS. THESE TERMS ARE ONLY APPLICABLE TO USERS IN SINGAPORE. THE SITE IS NOT AVAILABLE TO ANY USERS SUSPENDED OR REMOVED FROM THE SITE. BY USING THE SITE, YOU REPRESENT THAT YOU ARE A RESIDENT OF SINGAPORE, AT LEAST 18 YEARS OLD AND HAVE NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED. THOSE WHO CHOOSE TO ACCESS THE SITE DO SO AT THEIR OWN INITIATIVE AND ARE RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS WHICH APPLY TO YOU.

  3. Additional Terms
    By using this Site and accessing the Venue, you agree to be bound by all of our and any applicable third parties’ terms and conditions, privacy policies and any other FAQs, policies, code of conduct that may apply.  In connection with making such reservations and purchases, you may have to leave the Site and go to sites maintained by such third parties.

    Online reservations and purchases for products and services through the Site which are not covered under our license are handled by MORROW Health Pte. Ltd. (UEN 201943415D) (“MORROW”). When making reservations and purchases through the site maintained by MORROW, you will be bound by the Related Terms including MORROW’s additional terms relating to membership, service charges, taxes and deposits, and policies regarding cancellation and refunds (where applicable).

    Our Privacy Statement, which can be viewed at https://morrow.health/privacy-statement, are incorporated in these Terms by reference. By providing your information or creating an account, you agree that MORROW and MORROW Medical may contact you by email, direct mail, telephone or text messages at any of the addresses or phone numbers, as applicable, provided by you or on your behalf, including for marketing purposes. You may opt-out of marketing emails via the provided unsubscribe link or otherwise opt-out by contacting us at any time.

    Our Privacy Statement also applies to any personal data you have provided to us both online and in person (whether on the Site or at the Venue), or through our related companies, Healthcare Providers (defined below), Partners and other service providers.

  4. Data Transfer
    As we operate via overseas service providers or applicable third parties, it may be necessary to transfer your information to a country outside of the country where it was originally collected or outside of your country of residence or nationality. These countries may have data protection laws that are different from the laws of your country. However, we have taken appropriate safeguards to require that your personal data will remain protected in accordance with our Privacy Statement.

  5. Changes to Terms and Conditions
    MORROW Medical reserves the right to change these Terms at any time without notice to you, except where such notice may be required by applicable laws, depending upon the nature of the changes made. By using the Site subsequent to any change of these Terms, you agree to be bound by such change.

    Unless we provide a delayed effective date, all amendments will be effective upon posting of such updated Terms. Your continued access to or use of the Site and Services after such posting constitutes your consent to be bound by the Terms, as amended.

  6. MORROW Platform Membership Terms
    The MORROW public website and/or members portal and/or MORROW™ mobile application maintained by us or our related companies (collectively, the “MORROW Platform”) enables consumers to access the Services, and other fitness, recreational and wellness products and services offered and/or operated by our related companies or other third parties. You agree to be bound by the following membership terms and any other such terms that may be published or communicated to you from time to time:

    1. Membership Options. There are a number of ways to participate in the Services through the MORROW Platform, such as various membership packages (“Membership”), promotional plans and one-off purchases. These options consist of different services and features and may be subject to additional and differing conditions, prices, policies and limitations. We reserve the right to modify, terminate or otherwise amend our offered options and plans at any time in our discretion. We may but have no obligation to permit non-subscribers to access certain Services, content or features for a cost or at no cost from time to time. We make no commitment on the quantity, availability, type or frequency at which such Services, content and features will be available to non-subscribers and may modify, discontinue, remove or suspend access at any time and for any reason in our sole discretion.

    2. Membership Account. To enjoy full access to the Site, Venue and the Services, you will need to sign up for a membership account and pay a non-refundable membership fee (“Membership Fee”) for the relevant membership package selected. If you are a guest, you will also need to sign up for a membership account in order to gain access to the Site, Venue or Services for the relevant period. Unless as expressly set out herein or in any other terms or FAQs published on the MORROW Platform, your membership commence on, the date full payment of the membership fee is received by us, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You are able to make online reservations and purchases once you have signed up for a membership account. Your account is personal to you and you agree not to create more than one account. You cannot transfer or gift Credits to third parties or allow third parties to use your account, including other MORROW Platform users. You must not use or exploit the Site and/or Services for non-personal or commercial purposes. You understand and agree that we may take actions we deem reasonably necessary to prevent fraud and abuse.

    3. Membership Packages Payments. You may opt for an upfront annual payment or monthly instalment payment plan of your Membership Fee via a valid Payment Method. You must provide us with a current, valid, accepted method of payment (“Payment Method”). We shall have the sole discretion to update the accepted methods from time to time. Unless we otherwise communicate a different time period to you at the time of sign up or otherwise, each billing cycle is either on a monthly or annual basis (a “Membership Cycle”). Your Membership Fee will be up for renewal at the end of each Membership Cycle. Prior to your Membership Cycle expiry, MORROW will contact you regarding the renewal of your membership. This will continue for each subsequent Membership Cycle until your Membership is cancelled or terminated.

    4. Use of Credits. Depending on the membership package you choose and purchase, you may be allotted service-specific credits to be used solely to make online reservations and purchases during each Membership Cycle (“Credits”). You can choose how you use your Credits across the various Services made available on the Site, unless there are specific limitations or restrictions communicated to you.

    5. Expiry of Credits. Credits for each service expire at the end of each Membership Cycle, meaning that any Credits for each service you do not use during the applicable Membership Cycle will not roll over into future Membership Cycles, unless we expressly communicate otherwise. You can check the time period left in each Subscription Cycle in your MORROW Platform account. If your Membership is cancelled or terminated, all unused Credits, including both current Membership Credits and any rollover Credits, will expire immediately. There will be no refund or
      payment for any unused amount. In order to use any Credits, you must have an active, paying membership account.

    6. Credits and purchased items are non-transferrable and cannot be exchanged. Credits and purchased items have no cash value or any other value outside of the MORROW Platform and are not redeemable for cash. You may not transfer, trade, gift or otherwise exchange any Credits and purchase items with any third parties including any users of the MORROW Platform.

    7. Credit Allocation. The number of Credits needed to book a particular Service will vary and is determined based on a variety of factors, including but not limited to the nature of the service, time of day, equipment, facilities, pricing and popularity. Certain Venue such as services provided by MORROW Medical or other service providers may require more Credits for its Services offered. MORROW Medical reserves the right to change the number of Credits you receive, the number of reservations you can make and other requirements.

    8. Services Availability. MORROW Medical does not guarantee the availability of the Services and its availability may change over time and at any time (including during the course of any given Membership Cycle). The type, quantity, Credits, allocation and availability of Venue, activities and classes, and other inventory offered, are determined by us in our sole discretion.

    9. Online Services. We may allow you to access to a variety of audio or video Services from your computer or mobile device, via live stream and/or on demand. To access these online Services, you need to comply with certain technical and hardware requirements. The recommendations and goals provided through these online Services may not be right for you and it is solely your responsibility to make sure that you participate in the manner and at the intensity level that is right for you. If you participate in a group activity or class, you consent to your personal data and confidential medical information, including sensitive health information, being shared, displayed and shown to other users participating in the said group activity or class.[LI3] [CL4]  Otherwise, you will need to inform us or the service provider prior to the commencement of the said group activity or class.

    10. Non-Membership Purchases. We may permit you to purchase certain Services through the Site, in addition to your Membership or without having a Membership. You acknowledge and agree that these Terms and Related Terms apply to any such purchase you make, and you will be responsible to pay the applicable fees, which may change from time to time.

    11. Co-Memberships. We may permit you to sign up for a co-membership that provides you with a membership to MORROW Medical as well as a membership to MORROW, a third party Venue or other such third party service provider (“Venue Membership”). If you sign up for a co-membership, you will be subject to these Terms as well as additional terms applicable to the Venue Membership. You understand and agree that we do not own, operate or control the Venue Membership and is not responsible for the Venue Membership, which is provided entirely by MORROW, the applicable Venue or such third party service provider.

    12. Reservations in Good Faith. You agree that you will make only legitimate reservations or bookings in good faith for use by you and not for other purposes, including without limitation, reselling, posting, advertising or marketing reservations (whether online or otherwise) to third parties including online agents, third-party owned websites, or travel agents. Such unauthorised resale, posting, advertising or marketing on third-party websites, or making speculative, false or fraudulent reservations or purchases may result in suspension or termination of your account and reservations or purchases (as the case may be).

  1. MORROW Platform Payment Terms

    1. Applicable Fees. In addition to any membership fees, you authorise us to charge you any other fees you may incur in connection with your use of the Site, Venue and the Services, such as any applicable sign-up fee, taxes and cancellation or late fees, as explained below. Even if you do not use the Membership or access the Site, Venue and/or Services, you will be responsible for Membership Fee and any other applicable fees until you cancel your Membership, or it is otherwise terminated.

    2. Billing. By making payment for your first membership package, you authorise us to charge you for your initial Membership Cycle. We will contact you towards to the end of your Membership Cycle regarding the renewal of your Membership. If you agree to renew your Membership, we will charge you your Membership Fee using the Payment Method at the applicable rate (which we reserve the right to change from time to time) for the next Membership Cycle. You acknowledge that the fees payable for each Membership Cycle may vary due to applicable promotional offers and/or changing to a different membership package.

    3. Membership Cycle. When you sign up and purchase a membership package, the first Membership Cycle will be billed immediately. Unless we expressly communicate otherwise, you will be billed on the same date each month (in the case of payment on a monthly basis) or year (in the case payment on an annual basis upon renewal). We reserve the right to change the timing of our billing (and if we do, we will pro-rate the amounts we charge, as appropriate). In the event your paid Membership began on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. Your Membership Cycle may change due to changes to your Membership such as changes to a different membership package.

    4. Cancellation of Reservation. The cancellation policy of any reservation and purchase may vary depending on the membership package, service / product offering, or other criteria we may communicate to you from time to time. The cancellation policy will normally be provided to you along with the confirmation of your reservation. Any cancellation of your reservation of the Services through the Site must comply with the cancellation policy applicable to the reservation and the Venue. Notwithstanding the foregoing, it is our standard cancellation policy that in the event of a cancellation of your reservation of any Service less than 12 hours prior to the start time of the Service, or in case you fail to show up without a valid reason, it will be deemed as a used credit or a nonrefundable paid service. In the event of a cancellation of your reservation more than 12 hours prior to the start time of the Service, there will be a return of the credit used to your account.

    5. Cancellation of Membership. To notify us of a cancellation, you must send an email to us at connect@morrowmedical.sg (note that social media message, in-person conversations, text or phone call will not suffice) which details your name, email we have on file for you, cancellation date request and reason for cancelling. Once your membership is cancelled, you will lose any existing Credits, the right to access any or all Site content and features, and you will not be able to make reservations or purchase the Services until you sign up or purchase a new membership package. We reserve the right to charge a cancellation fee and any associated service fees, taxes and other charges as required by applicable laws to your Payment Method. There is a 5-working day cooling off period to seek a full refund of any payment made before the provision of any Services to you (“Cooling Off”) that begins, on the date of payment, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You may terminate your Membership by delivering written notice to the email address mentioned above. The following charges are non-refundable in the event the Cooling Off period has expired:

      • all deposits paid;

      • all used Credits / services; and

      • any fees paid to third parties (such as payment processing fees).

      For special rate product offers, additional cancellation terms published on the offer booking page will apply. In the event of any inconsistency or conflict between the special rate product offer terms and the standard terms, the special rate product offer terms shall prevail.

    6. Refunds. Generally, our fees (including any trial or promotion fees, sign-up fee and deposits paid) are non-refundable unless we specifically communicate otherwise at the time of purchase. However, we will provide a refund to members for their current prepaid membership cycle only in the following circumstances: (i) if you are cancelling your membership and request a refund within 5 working days of, the date of your first payment for your membership, or where physical access to the Venue has not yet commenced, the date physical access to the Venue is first granted, or (ii) if your membership is cancelled prior to the end of a cycle for which you have incurred a charge, due to your relocation, disability or death; provided, however, in each case we reserve the right to charge a fee to cover the cost of any Services or other services or products you may have used or received prior to your cancellation and to ask for proof of such changed condition, to the extent permitted by law.

    7. Price Changes. We reserve the right to adjust pricing at any time. Unless we expressly communicate otherwise, any price changes to your membership will take effect on your next Membership Cycle upon notice communicated through a posting on the website, push notification via the MORROW™ mobile application, update on our social media platforms or such other means as we may deem appropriate from time to time, such as via your email.

    8. Payment Methods. You must provide valid credit/ debit card information (such as card type, card number, expiry date and the full name shown on the card) to MORROW Medical. You may choose to save your credit/ debit card details in your account for future use. This is optional and will expedite your future reservations and purchases made via the Site. The collection of your credit/ debit card details is subject to our Privacy Statement. It is your responsibility to update your credit/ debit card details on your account. You may update your Payment Method information by signing in to your account and updating it under your account settings. If a payment is not successfully settled by the due date, due to insufficient funds or otherwise, you will remain responsible for any uncollected amounts and authorise us to continue billing the Payment Method or any other payment method you have provided, as it may be updated, including in the event you attempt to create a new account, reactivate the unsettled account or sign up for a new account. This may result in a change to your payment billing dates. If we cannot charge your account, we reserve the right, but are not obligated, to suspend and/or terminate your access to our Site, the Services or any portion thereof. If your credit/ debit card is invalid or has expired, you may not be able to complete your reservation or make any purchases.

    9. Warranty. By providing your credit/ debit card information, you represent and warrant that (i) you are legally authorised to use the credit/ debit card you provided; (ii) you authorise us to charge you in full for all charges incurred by you and your invited guest (if applicable) or charged to your account for all products and services purchased by you and any damage or loss caused by you and your guest during your visit at the Venue (including without limitation, damage to any equipment, facilities and property); (iii) you authorise us to charge you in full the prepayment or advance purchase at the time of reservation; and (iv) you authorise us to charge any cancellation charges to your Payment Method.

    10. Disclaimer. While all reasonable security measures will be taken to secure your credit/ debit card information, you agree to hold us and our employees and officers harmless and release us from any actions, claims, liability, damage or loss resulting from any loss, release, compromise, or disclosure of your credit/ debit card information caused by malware attacks, phishing attacks, viruses, hacking activities, malicious software and any other unlawful interference of the Site’s operating system or unauthorised access by third parties.

    11. Fees Charged by Venue. In addition to fees we charge, the Venue may also charge equipment or other amenity fees that you will be responsible for directly. Further, the MORROW Platform only gives you access to the Services for which you signed up on the Site (and at the specified time and location). The Venue may charge additional fees for your access and use of other products, services, equipment and facilities.

    12. Third Party Fees. You are also responsible for all third-party charges and fees associated with accessing and using the Site and/or the Services, including fees such as internet service provider fees, telephone and computer equipment charges, sales tax and any other fees necessary to access the Site and/or the Services.

  2. Offers and Promotions
    We, our related companies and third party service providers, may offer discounts and other promotions from time to time, and such discounts and promotions are subject to additional terms and conditions that we or such applicable third parties may provide.

  3. Healthcare Services
    MORROW Medical is licensed to provide outpatient medical services and telehealth services on the Site and at the Venue (“Healthcare Services”) through healthcare providers who deliver the Healthcare Services (“Healthcare Providers”).

    In providing the Healthcare Services through the Healthcare Providers, you acknowledge and agree that:

    • To the extent that we refer third party Healthcare Providers to provide you with Healthcare Services, MORROW Medical is merely a provider of the referral, and shall not be deemed to have provided or engaged in Healthcare Services rendered by such third party Healthcare Providers. Neither MORROW Medical, our related companies, or our Partners shall be liable for any professional advice which you obtain from a third party Healthcare Provider. MORROW Medical, our related companies nor our Partners shall not be liable for any referrals made by a MORROW Medical Healthcare Provider to any third parties, including but not limited to specialists or laboratories.

    • You shall not record or publish (or cause to record or publish) in any form or on any media any interactions with us or any Healthcare Provider, unless you were provided with written consent.

    • You consent for us and the Healthcare Providers to record any interactions with you in accordance with our Privacy Statement and to retain a copy of your health records.

    • MORROW Medical does not, and shall not be deemed to, direct or control the independent clinical judgement or professional opinions of any Healthcare Providers, whether generally or in the Healthcare Provider’s provision of Healthcare Services under these terms. Each Healthcare Provider exercises his or her own professional judgment in the diagnosis, treatment, and care of patients, including in relation to any acts or omissions arising from such clinical decisions.

    • Any opinions, advice, or information expressed by a Healthcare Provider are based on the Healthcare Provider’s independent professional judgment and do not necessarily reflect the views or positions of MORROW Medical, our related companies, or our Partners.

    • You shall (i) comply with any directions or instructions given in relation to any prescription provided to you; (ii) promptly notify us or the Healthcare Provider of any side effects of any medication; (iii) check the labels of the medication prescribed to verify the medication matches the prescription before consuming the medication delivered; (iv) protect anything prescribed to you and not permit any other person access to the prescribed medication; and (v) not use any prescription after its expiry date.

    • You shall comply with any advice by any Healthcare Provider to consult a doctor or other healthcare professional in person or seek emergency or other treatment.

    • The Healthcare Services are intended to be provided to users in Singapore and MORROW Medical and the Healthcare Providers are not licensed and qualified to provide professional advice to users outside Singapore.

    You may select from the following Healthcare Services made available on the Site and/or at the Venue (as the case may be) from time to time:

    1. Health Screening Package(s) pre-booked on Site and/or carried out at the Venue;

    2. Long-term Individual Consultations and Discussion Groups, which may take place over a period of time such as 6 months to 1 year, depending on the Healthcare Provider’s recommendations; and

    3. Ad hoc Individual Consultations with a Healthcare Provider which may follow after a screening session or upon your request.

Health Screening Packages
- Certain screenings may have specific medical prerequisites (e.g., fasting requirements). It is your responsibility to review the FAQs or directions provided at the time of booking.

  • Health Screenings carried out at the Venue are subject to the Venue’s code of conduct and other policies. We reserve the right to refuse service if, in our absolute discretion:

    • You provide inaccurate medical history or if you are not suitable for the screening package selected.

    • You fail to follow pre-screening instructions (e.g., consumed food during a fasting window) or any directions or instructions provided by our staff.

    • You exhibit any behaviour that threatens the safety of yourself, staff or other patients.

  • The provision of a screening report does not, in itself, constitute an ongoing doctor-patient relationship beyond the scope of the screening. Results are indicative and should be reviewed with a qualified medical practitioner for a formal diagnosis. It is your responsibility to ensure that you book an individual consultation with the Healthcare Provider to follow-up on your screening report.

Long-term Individual Consultations and Discussion Groups
If you have made any booking or reservation for a Long-term Group Discussion and/or Individual Consultations, you acknowledge and agree that:

  • As a condition of us providing you with access to the discussion groups, you have to read, understand and sign the Group Consultation Consent Form or such other document that may be provided to you from time to time.

  • Long-term care requires consistent participation. Long-term services, whether delivered as Discussion Groups and/or Individual Consultations, are tailored based on the Healthcare Provider’s initial diagnosis. The duration (e.g., 6 or 12 months) is an estimate based on the Healthcare Provider’s clinical judgment and may be adjusted as the treatment or discussion progresses.

    • Individual Consultations: Sessions must be utilised within the agreed-upon timeframe. Unused sessions at the end of the term do not roll over unless expressly agreed upon in writing.

    • Discussion Groups: These are conducted in collaborative environments in-person at the Venue unless otherwise indicated that virtual / remote sessions through the Site if determined to be suitable. Participants agree to maintain the confidentiality and respect the privacy of other group participants. Breach of any confidentiality is a ground for immediate termination of service without a refund and you hereby indemnify us for any liability, loss, damages, penalty, expenses and costs (including attorney costs) arising out of or in connection with such breach of confidentiality or personal data protection.

    • If the Healthcare Provider determines that the service is no longer clinically appropriate for Group Discussions, the rest of your sessions will be converted into Individual Consultations and additional fees may be applicable.

Individual Consultations
If you have made any booking or reservation for a Long-term Group Discussion or Individual Consultation, you acknowledge and agree that:

  • All Individual Consultations are paid upfront and subject to the Healthcare Provider’s availability and acceptance in his/her sole discretion.

  • All Individual Consultations have to be attended in-person at the Venue unless otherwise indicated that you can select the teleconsultation functionality through the Site if determined to be suitable.

If you are using the teleconsultation functionality for consultations deemed suitable to be conducted in such a manner, you acknowledge and agree that:

  1. You may arrange and schedule video consultations with the Healthcare Providers;

  2. All requests for video consultation shall be subject to the Healthcare Providers’ availability and acceptance in his/her sole discretion;

  3. You shall ensure that (i) the internet connection to which your device is connected is of sufficient quality and strength to host a video consultation; (ii) the video consultation is conducted in a place that is well-lit and private and equipped with the necessary audio-visual equipment; and (iii) provide any information and documents to verify your identity and health condition;

  4. Once your request is accepted, the Site may provide the information and documents which you have provided to us to the Healthcare Provider, in accordance with our Privacy Statement. You agree to provide proof of identity (which includes a valid photo identification) and such information or documents as requested by the Healthcare Provider to verify your identity at the start of or at any time during the video consultation. You acknowledge that you may not be able to access or be provided with the Healthcare Services if you refuse to provide proof of identity or assume a false identity. We and the Healthcare Provider reserve the right to decline any request for video consultation in our or his/her absolute discretion;

  5. You acknowledge that there are inherent limitations to the use of video consultations. Therefore, in respect of emergencies and other medical situations, in person consultations may be a more appropriate medium for medical evaluation, diagnosis and/or consultation;

  6. Where you have a teleconsultation with a Healthcare Provider, you understand and agree that the professional advice provided shall be intended as a provisional opinion (or such second or further opinion) and shall be solely based on information you have provided before or during the video consultation. Such professional advice is not intended to be a substitute for an in-person consultation and/or treatment. It is advisable to seek further clarification, examination, diagnosis and/or an in-person consultation for a more comprehensive medical assessment before beginning any definitive treatment.

As a condition to use the Site and access the Venue, you agree that:

  • you are responsible for the correctness and completeness of the information provided to us and to the Healthcare Provider including your particulars, any existing allergy or medical condition, symptoms, health history, images, documents, test results or diagnostic images furnished/uploaded by you; 

  • you are responsible for providing the correct particulars and information requested to be eligible for any offers, promotions, gifts, or any applicable health insurance or corporate benefits. No refunds will be provided if you proceed with a transaction without the appropriate registration details;

  • you shall be personally liable for, and to pay, any fees or charges in accordance with any terms in effect at the time they are incurred;

  • you shall respectful and conduct yourself in an appropriate manner while interacting with us and the Healthcare Provider, and to only present or provide relevant information or images in relation to the Healthcare Services. Any such disrespectful conduct or inappropriate actions, which we shall determine in our sole discretion, may result in the suspension and/or termination of your account and/or deletion of such information and images from the Site;

  • you shall comply with all terms and conditions, privacy policies and any other FAQs, policies, code of conduct as set out on the Site and at the Venue published by us from time to time and below; and

  • you shall comply with all applicable laws.

MORROW Medical is required to comply with local healthcare, personal data, security and other applicable laws. Any information or documents you provide to the Healthcare Provider is subject to patient-doctor confidentiality.

You agree that to provide you with certain services, we will seek your consent before we collect certain additional personal data including for facial recognition, location tracking, research, to train our AI models and data sharing.

  1. Healthcare Products
    MORROW Medical makes available certain healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers (“Healthcare Products”) at the Venue. Healthcare Products at the Venue may be sold by us, our related companies or such third party suppliers (“Suppliers”).

You acknowledge that:

  • While we endeavour to provide an accurate description of the Healthcare Products, we do not warrant that such description is accurate, current or free from error;

  • The pricing or availability of the Healthcare Products may change at any time at MORROW Medical’s discretion. MORROW Medical shall not be responsible for any such changes;

  • You shall pay the product price, taxes and any other fees (where applicable) for the Healthcare Products and abide by all applicable payment terms as published on the Site or at the Venue from time to time or by MORROW Medical notifying you; and

  • The provision of any Healthcare Product is subject to availability. It is possible that in some instances a Healthcare Product may become unavailable. MORROW Medical may consult with you to replace the unavailable prescribed medication with any suitable substitute after consultation with the Healthcare Provider and you shall be liable for any price difference.

  1. Payment Terms for Healthcare Services and Healthcare Products
    In addition to any Related Terms, the following payment terms shall apply to you in relation to the use and purchase of any Healthcare Services and Healthcare Products:

    • In connection with your use of the Healthcare Services and Healthcare Products, you shall bear the following fees (collectively, the “Fees”):

      • for any consultations with Healthcare Providers, including any long-term group discussions or individual consultations, the relevant fees which shall be calculated based on the rates and/or packages as prescribed by MORROW Medical from time to time;

      • for any screening packages taken up, the screening package fees based on such prices as prescribed by MORROW Medical from time to time; and

      • applicable taxes. 

For the avoidance of doubt, MORROW Medical’s determination of the Fees shall be final, conclusive and binding on you.

If your health plan, insurer, employer or agency has arranged with MORROW Medical to pay the Fees or any portion of the Fees payable to MORROW Medical, or if the Fee payable is pursuant to some other arrangement with MORROW Medical, that fee adjustment will be reflected in the fee that you are ultimately charged.

If your health insurance coverage or employee benefits do not cover or is not sufficient to pay the Fees in full, you may be fully or partially responsible for payment. It is your responsibility to ensure that any Fees charged to your Account can be reimbursed through such health plan, insurer, employer or agency.

All Fees shall be paid in advance and are non-refundable unless it is provided for under any applicable terms as may be notified to you, and you further agree to bear all applicable fees and taxes payable thereon.

For avoidance of doubt, you agree to pay all Fees charged to your account in accordance with the Fees, charges, and billing terms in effect at the time the Fees are due and payable via your Payment Method.

We may use payment processing agents to process your payment of any Fees. When you provide us with your payment details, you authorise us and/or our payment processing agents to charge your Payment Method automatically upon the expiry of each payment period as applicable in relation to the Fees. If we cannot charge your Payment Method successfully, we reserve the right to immediately terminate the transaction and/or suspend access to your account.

In respect of the Healthcare Services and the Healthcare Products, you agree and acknowledge that the following policy applies to you:

  • Unless as otherwise expressly specified on the Site or at the Venue, you will not be entitled to a refund of any and all fees paid (i) in the event that you cancel a scheduled appointment less than 24 hours in advance or if you miss a scheduled appointment or (ii) in respect of any consultation that has either been completed or terminated by you.

  • For any cancellations more than 24 hours in advance, the following cancellation policy applies:

    • If you cancel a scheduled appointment less than 48 hours in advance, you are entitled to a free one-time rescheduling.

    • If you cancel a scheduled appointment more than 24 hours but less than 48 hours in advance, you may be charged an administrative fee to reschedule the appointment.

  • If you are late by less than 20 minutes for any scheduled appointment, we or the Healthcare Provider, at our absolute discretion, may allow you to attend the appointment at the fixed time allocated, or you may opt to be charged an administrative fee to reschedule the appointment.

  • If you are late by more than 30 minutes for any scheduled appointment, you are regarded as a no-show and there will be no refunds of any and all fees paid.

  • Any rescheduled appointments are subject to availability. For any scheduled appointment, the first time rescheduling is free if requested at least 48 hours in advance. Second and subsequent reschedules may incur an administrative fee.

  • To the extent permitted by applicable laws, in respect of the purchase of any Healthcare Products, unless as otherwise expressly specified at the Venue:

    • where applicable, the purchases are subject to our additional policy / FAQs on refunds and cancellations (where applicable) as published or notified to you from time to time;

    • Any requests made for exchanges or refunds are only allowed if the Healthcare Products are damaged or expired, or where the Healthcare Service rendered was not in accordance with the description at the Venue which shall be subject to MORROW Medical’s review on a case-by-case basis. In such an event, MORROW Medical may request for such supporting information and documents from you and you agree to cooperate in good faith. The decision to allow any exchange or refund is subject to MORROW Medical’s sole discretion.

  • In the event you are entitled to any refund for any reason in respect of any products or services on the MORROW Medical Platforms, you agree that MORROW Medical will in its sole discretion either (i) issue you with a refund to your account where any Credits are used or (ii) where the purchase was made using your Payment Method, credit the refund to the same Payment Method.

  • To the extent permitted by applicable laws, MORROW Medical is not responsible for any loss you have incurred as a result of any delay or failure to provide any exchange or refund to you.

  1. Use of the Venue and facilities
    All users of the Venue or any facilities to must abide by any additional terms such as FAQs, code of conduct, policies or other rules imposed by us. MORROW Medical and the Venue providers reserve the right to refuse admittance to or remove persons from the Venue or suspend use of any facilities for failure to comply with such additional terms. 

    We reserve the right, at our sole discretion, to terminate, restrict, or suspend your access to the Venue or any facilities at any time, without any liability to you or any other person, for any reason including but not limited to operational needs or unforeseen circumstances.

    MORROW Medical reserves the right to cancel your scheduled appointment and release your reservation to use and access the Venue or any facilities if you do not arrive within 20 minutes after the start time.

    MORROW Medical reserves the right to cancel your scheduled appointment 24 hours prior to the start time if there are insufficient persons attending any group activity or class which you have reserved.

    You are advised not to bring expensive jewellery, precious goods or excessive amounts of cash to the Venue and you do so at your own risk. Please ensure that all items of value are always stored securely and not left unattended. To the extent permissible by law, we will not be liable for any loss of or damage to any property brought onto the Venue. In the event that we are found to be liable for any such loss or damage, we shall not be liable for such loss and damage to an amount exceeding the last Subscription Cycle bill you paid to us, to the extent permitted under the applicable laws.

  2. Intellectual Property
    Other than the exceptions specifically referenced in these Terms, all content on the Site is the property of MORROW Medical or the referenced third party, or is licensed and/or used with permission by MORROW Medical including, but not limited to, all proprietary information, content and materials, such as text, data, documents, messages, pictures, images, video, audio, graphics, links, icons, logos, designs, copyright, patents, trademarks, get-up, logos, trade names,  software codes and technologies or other electronic files (collectively, “Site Content”). No licence is granted in respect of those intellectual property rights. Your use of the Site does not grant, transfer to or confer upon you any right, title or interest in the Site Content.

    The owners of Site Content are intended beneficiaries of this Agreement and shall have the right to enforce this Agreement against you.

    You agree that you will not use the Site Content in any way whatsoever except for use of the services available on the Site in compliance with the Terms. The Site may only be used for personal and non-commercial purposes.  You must not print, copy, modify, publish, reproduce, distribute, re-transmit, transfer, upload, download, store, display in public, sell, licence, reverse engineer, decompile, or disassemble the Site Content without the prior written consent of MORROW Medical, save and except to the extent permitted by copyright laws and/or for the downloading and printing of the Site Content for personal record-keeping purposes only.

    You must also not engage in any conduct that infringes, violates or misappropriates any intellectual property rights of MORROW Medical or any other party, and such infringement, violation or misappropriation shall amount to a breach of the Terms.

    No permission or authorisation is granted to you to use, or permit others to use our icons, site addresses, or any other means to hyperlink other Internet sites with any page in the Site unless specifically permitted by us in writing.

    You can send your comments, suggestions, ideas, or feedback concerning the Site or any of the services made available to you on the Site or to our staff at any physical locations (“Feedback”). You agree that if you provide any Feedback to us, we will own all right, title and interest in and to the Feedback, even if such Feedback is provided in confidence. We will be entitled to use the Feedback without restriction. You irrevocably assign to us all right, title and interest in and to the Feedback and agree to provide us with any assistance we may require to document, amend and maintain our rights in any Feedback.

    We and/or the owners of any Site Content may, from time to time, remove any content from the Site without notice and liability to you.

    The Site may contain information on or links to third party websites (whether through hyperlinks to third party websites or otherwise) that are subject to the relevant terms and conditions of the third party owners. These links are provided solely for your convenience and do not indicate, expressly or impliedly, any guarantee, endorsement or recommendation by us for the linked websites or the products or services provided at those websites.  Please note that we are not responsible for the content of such websites or for the collection, use, maintenance, sharing, or disclosure of data and information by such third parties. Your access to any such websites is at your own risk and we advise you to check the terms and conditions and privacy policies of those other websites before using them and disclosing your personal data.

    If you click on these links, you will leave the Site. If you access the linked sites, you will be subject to the terms of use and other policies applicable to those linked sites. You visit the linked sites at your own risk and should consult the linked websites’ policies. Occasionally when linking to another website, you may still see the Site’s logo or frame. This is to provide you with a seamless experience when visiting the Site.   4.   Prohibited Conduct
    The following conduct is strictly prohibited in connection with accessing or using the Site:

    • Harass, threaten, stalk, disrupt or defraud users, members or staff of MORROW Medical or any other person, or otherwise create or contribute to an unsafe, harassing, threatening or disruptive environment;

    • Act in a deceptive or fraudulent manner by, among other things, impersonating another person or access another user’s account or signing up for more than one account;

    • Share your account information including passwords with any third party or encourage any other user to do so;

    • Permit third parties to use any services booked under your own membership, including other users;

    • Reserve or cancel any services directly with a Venue, rather than through the Site;

    • Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of the Site or the Site Content;

    • Misrepresent the source, identity, or content of information transmitted via the Site, including deleting the copyright or other proprietary rights or notices from any portion of the Site or the Site Content;

    • Upload material (e.g. virus) that is damaging to computer systems or data of MORROW Medical or users of the Site or otherwise use the Site in any manner that could damage, disable, overburden, or impair it or interfere with any other party’s use and enjoyment of the Site;

    • Upload material that is not your own or that you do not have the legal right to distribute, display, and otherwise make available to others;

    • Upload or send to Site users pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content;

    • Decompile, reverse engineer or disassemble the Site, in whole or in part, except as may be permitted by applicable law;

    • Link to, mirror or frame any portion of the Site;

    • Download any software from the Site unless such process is required and approved by MORROW Medical as part of using the Site;

    • Impose an unreasonable or disproportionately large network strain or denial-of-service attack on, or engage in any behaviour that disrupts the operation or performance of, the Site or MORROW Medical’s computer and/or network infrastructure;

    • Hack into or gaining unauthorised access to protected areas of the Site and/or MORROW Medical’s computers, servers or networks, and/or any computers or systems used by other users of the Site, including but not limited to, circumventing Site security features;

    • Make unsolicited offers, advertisements, proposals, or send junk mail or “spam” to users;

    • Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Site, any features that prevent or restrict use or copying of any content accessible through the Site, or any features that enforce limitations on the use of the Site or the Site Content;

    • Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site;

    • Modify the Site in any manner or form, nor to use modified versions of the Site, including (without limitation) for the purpose of obtaining unauthorized access to the Site;

  5. Suspension or Termination by MORROW Medical
    If you fail to comply with these Terms, without prior notice and without any liability to you or any other person, we reserve the right to take all or any of the following actions:

    1. cancellation or modification of your reservation(s) or transaction(s);

    2. issuance of a warning to you;

    3. termination, restriction or suspension of your use of or access to any or all part of the Site and the Services, and/or bar any further access to your account information and the Site / Services. This includes the right to terminate or modify any subscription prior to the end of any pre-paid or committed period;

    4. commencement of legal action against you; or

    5. disclosure of information about you to law enforcement authorities as we may determine in our sole discretion.

The above is not exhaustive. We may take any other action in our absolute discretion. 

We shall have no liability for, and you shall have no recourse for, any such termination or deactivation, except as set forth in the following sentence. If you are member, then upon any such termination by us without cause, as your sole recourse, we will issue you a pro rata refund of the prepaid portion of your subscription applicable to future unused services (less any fees or costs for services already used).

For completeness, if we determine that you have failed to comply with these Terms or otherwise engaged in illegal or improper use of your membership, Venue, Services and/or the Site, you will not be entitled to any refund and you agree that we will not be responsible to pay any such refund. You agree that we and our third party service providers will not be liable to you or any third party for any termination or modification to the service regardless of the reason for such termination or modification. You acknowledge that your only right with respect to any dissatisfaction with any modification or discontinuation of service made by us is to cancel or terminate your subscription. If we delete your account for these reasons, you may not re-register for or use the Site and/or Services under any other user name, email, payment method or profile. We may block your access to the Site to prevent re-registration.

MORROW Medical reserves the right in its sole discretion, without notice and reason, to refuse service, remove or edit content on the Site, cancel orders or reservations, disable the Site and any or all of its features, or terminate your membership and access to the Site. This includes the right to not give any effect to any reservation or orders you make through the Site. You agree that MORROW Medical is not liable to you or any other third party for these actions. 

  1. Indemnity
    You agree to indemnify and keep us, our parent company, subsidiaries, affiliates, officers, directors, representatives, employees and agents indemnified from and against any liability, loss, claim, dispute, demand, damage or cost (including without limitation legal fees) arising out of or in connection with your misuse of the Site, Services, violation of these Terms, violation of applicable laws, violation of the rights of any other person or entity, or any breach of any information or content which you submit, post, transmit, communicate, send, publish, upload or otherwise make available, or any action taken by us either as part of our investigation of any suspected breach of these Terms or as a result of our finding or decision that a breach of these Terms has occurred.

  2.   Disclaimer of Warranties; Limitation of Liability
    In relation to the Healthcare Services and the Healthcare Products and to the maximum extent permitted by applicable laws, you irrevocably agree and acknowledge that:

    • we do not warrant or make any representations that the Site is the appropriate channel of consultation for your particular healthcare issues, or meets your specific requirements. MORROW Medical disclaims any liability for any use of the Site for the provision of any emergency services or where diagnosis or treatment-in-person is required. You should also consult a doctor in person or contact your local emergency services immediately if your medical condition is not minor or cannot be diagnosed or treated without a physical consultation, or otherwise falls within the following scope of conditions including: (i) urgent care or emergency conditions; (ii) serious conditions (e.g. breathlessness, severe or persistent pains, cardiac arrest); (iii) chronic conditions which have not been previously diagnosed by a doctor; (iv) any condition deemed during a video consultation via the Site to be in need of a physical consultation for further clarification, examination, diagnosis and/or treatment; (v) any condition requiring further investigations including but not limited to laboratory tests, and imaging modalities; (vi) conditions that cannot be adequately assessed through teleconsultation (e.g. suspected stroke or pneumonia); and/or (vii) require specific types of medication (e.g. controlled drugs, medication with addictive potential such as codeine-containing products, opioids, hypnotics or benzodiazepines); (viii) conditions requiring specialist procedural intervention (e.g., endoscopy, interventional cardiology, surgical consultation); (ix) acute psychiatric emergencies including suicidal ideation, acute psychosis, or severe behavioral disturbance; (x) infectious diseases requiring isolation or notification to authorities under the Infectious Diseases Act; (xi) conditions in patients under 18 years of age (xii) pregnancy-related medical conditions requiring obstetric care; (xiii) acute toxicology or overdose situations.

    • you may be issued with a prescription for medicine by a Healthcare Provider and may be prompted to use delivery services for delivery or fulfilment of prescription medicines. You are under no obligation to purchase any prescribed medication. The Healthcare Provider will prescribe medicine appropriate for your condition based on the medical history you have provided and the symptoms you have described. MORROW Medical shall not be responsible for (i) ensuring that you receive the medicine you are prescribed or that the medicine you receive is the same as that prescribed by Healthcare Provider; and (ii) any instructions in relation to the medication provided by the Healthcare Provider or anyone else associated with the provision of medication you have been prescribed;   

    • we are not responsible for any of the information made available or accessed on or through the Site or at the Venue or any decisions made by you based on any information made available or accessed on or through the Site or at the Venue;

    • we do not endorse or recommend any specific tests, physicians, products, procedures, opinions, or third parties, or other information that may be mentioned on the Site or at the Venue and that any arrangement entered into between you and any Healthcare Provider or any third party named or linked to or from the Site is at your sole risk and responsibility. The inclusion of Healthcare Providers on the Site or at the Venue and any referrals to any third party does not imply recommendation or endorsement of such party nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any professional or service provider contained therein;

    • we are not responsible for any acts or omissions or conduct of any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site or the Venue, including but not limited to referrals to any specialists or laboratories;

    • the Site (together with any Services, or other content, material or information available on the Sites and/or Application) are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. Your use of the Site and/or the Venue is at your own risk;

    • the Site may use transmissions over the Internet which are never completely private or secure. You understand that any personal data, message or information which you send in the course of the use of the Site may be made public on the Site, and read or intercepted by others

MORROW Medical, its affiliates and its Partners are not liable for:

  • the potential and inherent risks associated with remote medical consultation and prescription through a device, including without limitation: (i) the information transmitted by you or the Healthcare Provider may not be sufficient or accurate (e.g. poor lighting or sound) to allow for appropriate healthcare decision making, thus necessitating consultation with a doctor in person; (ii) reliance on self-measurement and reporting of symptoms, including body temperature, blood pressure and weight, may result in inaccurate evaluation and diagnosis; (iii) a lack of access to all your health records; and/or (iv) software, hardware, or data transmission problems or failures may impede, or cause disputes or delays in, evaluation, diagnosis or treatment;

  • any loss caused to or damage incurred or suffered by you or any person by reason of or arising from or as a consequence of any unauthorised use of your account and/or the Site, Venue or Services, performing any transactions, purchase and/or arrangement of delivery of product, and obtaining and/or making any payment of any monies belonging to you;

  • any loss caused to or damage incurred or suffered by you or any person by reason of your erroneous, wrongful or fraudulent uploading of information, images, laboratory test results or diagnostic images, or provision of information by you to the Site or the Healthcare Provider for the purposes of your use of the Site or the Services;

  • any loss, damage or liability which may arise in connection with the services offered by any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site, including services provided by the Healthcare Providers, any specialists or laboratories;

  • personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, corruption or loss of data, failure to transmit or receive any data, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Site or any third party software or applications in conjunction with the Site, howsoever caused, regardless of the theory of liability (contract, tort or otherwise) and even if we have been advised of the possibility of such damages;

  • for the actions or inactions of any providers of Services in relation to you, your activities or for or in connection with Services; and

  • any suspension, discontinuation, upgrade or modification to the Site or its functionalities which we may carry out from time to time without giving any reason or prior notice to you which affects your use of the Site and the Services.

MORROW MEDICAL DOES NOT WARRANT AND HEREBY DISCLAIMS ANY REPRESENTATION, WARRANTY OR TERM WITH RESPECT TO THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO (I) MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS, OR AS TO THE ACCURACY, CORRECTNESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT OF OR COMPLIANCE WITH ANY LAWS, REGULATIONS AND/OR THIRD PARTY RIGHTS IN CONNECTION WITH THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES; (II) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING AVAILABLE AT ALL TIMES, UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE OF ALL VIRUSES AND/OR OTHER HARMFUL ELEMENTS; (III) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE FROM ANY UNAUTHORISED ACCESS, INTERVENTION, HACKING, SABOTAGE, FRAUD OR INFILTRATION BY THIRD PARTIES; AND (IV) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING COMPATIBLE OR WORKING WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS, DEVICES OR THIRD PARTY SERVICES.

IN NO EVENT WILL MORROW MEDICAL, ITS AFFILIATES OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, BE LIABLE FOR ANY LOSSES, DAMAGES AND LIABILITIES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ACTUAL, OR OTHER INDIRECT DAMAGES, INCLUDING LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES EVEN IF MORROW MEDICAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES, ARISING OUT OF ANY MATTERS OR CLAIMS YOU MAY RAISE RELATING TO THE SITE AND/OR PURCHASE OF, PARTICIPATION IN, AND/OR USE OF ANY SERVICES) INCLUDING BUT NOT LIMITED TO WITH RESPECT TO BODILY INJURY, PHYSICAL HARM, LOSS, ILLNESS, DEATH OR PROPERTY DAMAGE. 

IN NO EVENT WILL THE COLLECTIVE LIABILITY OF MORROW MEDICAL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, EXCEED THE GREATER OF SGD 50 OR THE AMOUNT YOU PAID TO MORROW MEDICAL, IF ANY, FOR THE APPLICABLE SERVICE OUT OF WHICH THE LIABILITY AROSE.  IF ANY OF THE LIMITATIONS CONTAINED HEREIN ARE CONTRARY TO APPLICABLE LAW (SUCH AS, CONSEQUENTIAL, OR INCIDENTAL DAMAGES), MORROW MEDICAL’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW.

For avoidance of doubt, the exclusions and/or limitations of liability in these Terms shall not apply to the extent that such exclusions and/or limitations are prohibited by applicable law, including liability for death or personal injury arising from MORROW Medical’s negligence.

  1. Marketing Communications
    By using this Site, you consent to receiving direct marketing and promotional communications from us. Accordingly, we will send you either via emails, SMS messages, push notifications, telephone calls, post, or social media (e.g. Instagram and Facebook) marketing and promotional information that we think may be of interest to you. You may opt-out from receiving further marketing communications from us at any time by following the unsubscribe instructions contained in the marketing communications.

    Except as limited by our Privacy Statement or applicable laws, with respect to all communications you make to MORROW Medical, such as through telephone calls or emails sent via the “Contact Us” link and including but not limited to Feedback or questions: (1) you have no right of confidentiality in your communications; (2) we have no obligation to protect your communications from disclosure and are free to reproduce, disclose and distribute your communications to others; and (3) we are free to use any ideas, concepts, know-how, content or techniques contained in your communications for any purpose whatsoever, including but not limited to the development, production and marketing of products and services that incorporate such information.

    When you make an appointment with us, the Healthcare Provider and other service providers will have access to certain information about you, such as your name and email address, so it can provide services to you, communicate with you regarding the Services you reserved and send you other communication that may be of interest to you such as marketing offers.

  2. Governing Law; Dispute Resolution
    Any disputes relating to these Terms, the Site and the Services are governed by, and will be interpreted in accordance with, the laws of the Republic of Singapore, without regard to any conflict of laws provisions.  You irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the courts of the Republic of Singapore for any litigation or disputes arising out of or relating to the use of the Site, waive any objection to the venue of any such litigation or disputes in Singapore courts, and agree not to plead or claim in any Singapore court that such litigation brought therein has been brought in an inconvenient forum.

  3.   Miscellaneous
    If any part of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms, all of which will remain in full force and effect. The invalidity of any term is limited to the jurisdiction where such term was deemed to be invalid.

    No waiver of any of these Terms by MORROW Medical is binding unless authorised in writing by an executive officer of MORROW Medical. In the event that MORROW Medical waives a breach of any provision of these Terms, such waiver will not be construed as a continuing waiver of other breaches of the same nature or other provisions of these Terms and will in no manner affect the right of MORROW Medical to enforce the same at a later time. Further, in the event we choose to grant an exception to these Terms, any such exception is in our sole discretion and does not entitle you or anyone else to any exceptions in the future for similar circumstances.

    In addition to any sections with specific language regarding survival, the proprietary rights, disclaimer of warranties, representations made by you, indemnities, and limitations of liability shall survive the termination of these Terms.

    These Terms, the Related Terms and any additional terms and conditions as incorporated herein as each may be amended from time to time, form the entire agreement between you and MORROW Medical relating to the subject matter herein.

    By clicking “CONFIRM PURCHASE,” “SUBMIT”, “DOWNLOAD”, “PLACE MY ORDER”, “I ACCEPT” or such similar links, it constitutes your agreement and intention to be bound by these Terms and the Related Terms. You hereby waive any rights or requirements under any applicable laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of Credits by other than electronic means.

    Neither MORROW Medical, our related companies nor any third party service providers shall be liable for delay in performing obligations or for failure to perform obligations under these Terms if the delay or failure resulted from events, causes and circumstances beyond its reasonable control, including but not limited to, acts of God, governmental acts (including directives issued by regulators and amendments to legislation), shut down or failure of telecommunications facilities or networks, failures or acts of application distributors, failure of information technology or telecommunications equipment or facilities, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, epidemics, flood, fire, explosion, accident, civil commotion, industrial dispute, or impossibility of obtaining materials.

MORROW MEDICAL TERMS OF USE

Longevity & Lifestyle Medical Pte. Ltd. (UEN 202244817Z), is licensed to provide outpatient medical services and is operating under the “MORROW Medical”  brand (referred to as “MORROW Medical”, “us”, “we” or “our”, as the case may be), through the MORROW Medical website (morrowmedical.com.sg) or any other related websites, members portals, the MORROW™ mobile application (such as for iPhone or Android), its various functionalities and its content (the “Site”) and at our physical premises (the “Venue”).

We provide healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers to customers and potential customers (“you” or “your”) on the Site or at the Venue, including Healthcare Services and Healthcare Products (collectively, the “Services”). The Services may be provided by us, our related companies, Healthcare Providers on our panel or Partners. “Partners” include third party vendors, suppliers or delivery service providers of any products, services and solutions you purchase.

  1. Terms of Use
    These terms and conditions (the “Terms”) govern your access to and use of the Services on the Site and at the Venue, and create a legally binding contract between MORROW Medical and you. These Terms only apply to the Services made available by us on the Site and at the Venue. Other products, services, functionalities and content made available on the Site or at the Venue may be owned or operated by our related companies and which have their own terms and conditions (the “Related Terms”). By continuing to use the Site and access the Venue, you accept these Terms and the Related Terms, including any changes that may be made to them from time to time. If you do not wish to be bound to these Terms and the Related Terms, your only option is to cease using the Site and the Services. You are responsible for all telephone and/or Internet service provider charges you incur as a result of accessing the Site.

  2. Site User Requirements
    The Site is intended for users 18 years of age and older.  By accessing and/or using the Site and the Services, you represent that you are: (1) 18 years of age or older; (2) of legal age to use the Site; and (3) of legal age to enter into a binding contract as it relates to these Terms.

    If you are between the ages of 18 and 20, you may sign up for a membership and use the Services with the appropriate written consent and signature of a parent or an adult legal guardian. For the purpose of this Agreement, “you” includes reference to any parent / legal guardian of a minor / ward that is below 21 years of age (as the case may be).

    You agree that the information you provide to us at sign up and at all other times will be true, accurate, current and complete and that you will keep this information accurate, complete and up-to-date at all times. When you sign up, you will be asked to create a password. You are solely responsible for all activity that occurs under your account, including any activity by unauthorised users. To access and use the Site you must have access to the Internet and may be required to download the MORROW™ mobile application to use some or all of the features. You are solely responsible for providing your own access (e.g., computer, mobile device, Internet, etc.) to the Site and Services (where applicable).

    The availability of all or part of the Site and/or Services may be limited based on geographic, age, or other criteria as we may establish from time to time. You understand and agree we may disallow you from using or accessing the Site and/or the Services, or may terminate your membership at any time based on these criteria.

    You are responsible for maintaining the confidentiality of any account information needed to reserve or purchase the Services and agree to notify MORROW Medical if this access information is lost, stolen, or otherwise compromised. You are responsible for all activities that occur under your account.  

    Where required, MORROW Medical reserves the right to require proper proof of identity (e.g. passports or national identity cards) from all persons using the Venue or any facilities. MORROW Medical has the absolute discretion to deny any service if the identity does not match with the person mentioned in your reservation or if anyone refuses to provide the requisite proof of identity to MORROW Medical. We reserve the right to cancel or modify at our sole discretion any reservations that have been made in breach of the Terms or for false, fraudulent or unauthorised purposes.

    ACCESS TO OUR SITE IS NOT PERMITTED FROM OTHER JURISDICTIONS. THESE TERMS ARE ONLY APPLICABLE TO USERS IN SINGAPORE. THE SITE IS NOT AVAILABLE TO ANY USERS SUSPENDED OR REMOVED FROM THE SITE. BY USING THE SITE, YOU REPRESENT THAT YOU ARE A RESIDENT OF SINGAPORE, AT LEAST 18 YEARS OLD AND HAVE NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED. THOSE WHO CHOOSE TO ACCESS THE SITE DO SO AT THEIR OWN INITIATIVE AND ARE RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS WHICH APPLY TO YOU.

  3. Additional Terms
    By using this Site and accessing the Venue, you agree to be bound by all of our and any applicable third parties’ terms and conditions, privacy policies and any other FAQs, policies, code of conduct that may apply.  In connection with making such reservations and purchases, you may have to leave the Site and go to sites maintained by such third parties.

    Online reservations and purchases for products and services through the Site which are not covered under our license are handled by MORROW Health Pte. Ltd. (UEN 201943415D) (“MORROW”). When making reservations and purchases through the site maintained by MORROW, you will be bound by the Related Terms including MORROW’s additional terms relating to membership, service charges, taxes and deposits, and policies regarding cancellation and refunds (where applicable).

    Our Privacy Statement, which can be viewed at https://morrow.health/privacy-statement, are incorporated in these Terms by reference. By providing your information or creating an account, you agree that MORROW and MORROW Medical may contact you by email, direct mail, telephone or text messages at any of the addresses or phone numbers, as applicable, provided by you or on your behalf, including for marketing purposes. You may opt-out of marketing emails via the provided unsubscribe link or otherwise opt-out by contacting us at any time.

    Our Privacy Statement also applies to any personal data you have provided to us both online and in person (whether on the Site or at the Venue), or through our related companies, Healthcare Providers (defined below), Partners and other service providers.

  4. Data Transfer
    As we operate via overseas service providers or applicable third parties, it may be necessary to transfer your information to a country outside of the country where it was originally collected or outside of your country of residence or nationality. These countries may have data protection laws that are different from the laws of your country. However, we have taken appropriate safeguards to require that your personal data will remain protected in accordance with our Privacy Statement.

  5. Changes to Terms and Conditions
    MORROW Medical reserves the right to change these Terms at any time without notice to you, except where such notice may be required by applicable laws, depending upon the nature of the changes made. By using the Site subsequent to any change of these Terms, you agree to be bound by such change.

    Unless we provide a delayed effective date, all amendments will be effective upon posting of such updated Terms. Your continued access to or use of the Site and Services after such posting constitutes your consent to be bound by the Terms, as amended.

  6. MORROW Platform Membership Terms
    The MORROW public website and/or members portal and/or MORROW™ mobile application maintained by us or our related companies (collectively, the “MORROW Platform”) enables consumers to access the Services, and other fitness, recreational and wellness products and services offered and/or operated by our related companies or other third parties. You agree to be bound by the following membership terms and any other such terms that may be published or communicated to you from time to time:

    1. Membership Options. There are a number of ways to participate in the Services through the MORROW Platform, such as various membership packages (“Membership”), promotional plans and one-off purchases. These options consist of different services and features and may be subject to additional and differing conditions, prices, policies and limitations. We reserve the right to modify, terminate or otherwise amend our offered options and plans at any time in our discretion. We may but have no obligation to permit non-subscribers to access certain Services, content or features for a cost or at no cost from time to time. We make no commitment on the quantity, availability, type or frequency at which such Services, content and features will be available to non-subscribers and may modify, discontinue, remove or suspend access at any time and for any reason in our sole discretion.


    2. Membership Account. To enjoy full access to the Site, Venue and the Services, you will need to sign up for a membership account and pay a non-refundable membership fee (“Membership Fee”) for the relevant membership package selected. If you are a guest, you will also need to sign up for a membership account in order to gain access to the Site, Venue or Services for the relevant period. Unless as expressly set out herein or in any other terms or FAQs published on the MORROW Platform, your membership commence on, the date full payment of the membership fee is received by us, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You are able to make online reservations and purchases once you have signed up for a membership account. Your account is personal to you and you agree not to create more than one account. You cannot transfer or gift Credits to third parties or allow third parties to use your account, including other MORROW Platform users. You must not use or exploit the Site and/or Services for non-personal or commercial purposes. You understand and agree that we may take actions we deem reasonably necessary to prevent fraud and abuse.

    3. Membership Packages Payments. You may opt for an upfront annual payment or monthly instalment payment plan of your Membership Fee via a valid Payment Method. You must provide us with a current, valid, accepted method of payment (“Payment Method”). We shall have the sole discretion to update the accepted methods from time to time. Unless we otherwise communicate a different time period to you at the time of sign up or otherwise, each billing cycle is either on a monthly or annual basis (a “Membership Cycle”). Your Membership Fee will be up for renewal at the end of each Membership Cycle. Prior to your Membership Cycle expiry, MORROW will contact you regarding the renewal of your membership. This will continue for each subsequent Membership Cycle until your Membership is cancelled or terminated.

    4. Use of Credits. Depending on the membership package you choose and purchase, you may be allotted service-specific credits to be used solely to make online reservations and purchases during each Membership Cycle (“Credits”). You can choose how you use your Credits across the various Services made available on the Site, unless there are specific limitations or restrictions communicated to you.

    5. Expiry of Credits. Credits for each service expire at the end of each Membership Cycle, meaning that any Credits for each service you do not use during the applicable Membership Cycle will not roll over into future Membership Cycles, unless we expressly communicate otherwise. You can check the time period left in each Subscription Cycle in your MORROW Platform account. If your Membership is cancelled or terminated, all unused Credits, including both current Membership Credits and any rollover Credits, will expire immediately. There will be no refund or
      payment for any unused amount. In order to use any Credits, you must have an active, paying membership account.

    6. Credits and purchased items are non-transferrable and cannot be exchanged. Credits and purchased items have no cash value or any other value outside of the MORROW Platform and are not redeemable for cash. You may not transfer, trade, gift or otherwise exchange any Credits and purchase items with any third parties including any users of the MORROW Platform.

    7. Credit Allocation. The number of Credits needed to book a particular Service will vary and is determined based on a variety of factors, including but not limited to the nature of the service, time of day, equipment, facilities, pricing and popularity. Certain Venue such as services provided by MORROW Medical or other service providers may require more Credits for its Services offered. MORROW Medical reserves the right to change the number of Credits you receive, the number of reservations you can make and other requirements.

    8. Services Availability. MORROW Medical does not guarantee the availability of the Services and its availability may change over time and at any time (including during the course of any given Membership Cycle). The type, quantity, Credits, allocation and availability of Venue, activities and classes, and other inventory offered, are determined by us in our sole discretion.

    9. Online Services. We may allow you to access to a variety of audio or video Services from your computer or mobile device, via live stream and/or on demand. To access these online Services, you need to comply with certain technical and hardware requirements. The recommendations and goals provided through these online Services may not be right for you and it is solely your responsibility to make sure that you participate in the manner and at the intensity level that is right for you. If you participate in a group activity or class, you consent to your personal data and confidential medical information, including sensitive health information, being shared, displayed and shown to other users participating in the said group activity or class.[LI3] [CL4]  Otherwise, you will need to inform us or the service provider prior to the commencement of the said group activity or class.

    10. Non-Membership Purchases. We may permit you to purchase certain Services through the Site, in addition to your Membership or without having a Membership. You acknowledge and agree that these Terms and Related Terms apply to any such purchase you make, and you will be responsible to pay the applicable fees, which may change from time to time.

    11. Co-Memberships. We may permit you to sign up for a co-membership that provides you with a membership to MORROW Medical as well as a membership to MORROW, a third party Venue or other such third party service provider (“Venue Membership”). If you sign up for a co-membership, you will be subject to these Terms as well as additional terms applicable to the Venue Membership. You understand and agree that we do not own, operate or control the Venue Membership and is not responsible for the Venue Membership, which is provided entirely by MORROW, the applicable Venue or such third party service provider.

    12. Reservations in Good Faith. You agree that you will make only legitimate reservations or bookings in good faith for use by you and not for other purposes, including without limitation, reselling, posting, advertising or marketing reservations (whether online or otherwise) to third parties including online agents, third-party owned websites, or travel agents. Such unauthorised resale, posting, advertising or marketing on third-party websites, or making speculative, false or fraudulent reservations or purchases may result in suspension or termination of your account and reservations or purchases (as the case may be).

  1. MORROW Platform Payment Terms

    1. Applicable Fees. In addition to any membership fees, you authorise us to charge you any other fees you may incur in connection with your use of the Site, Venue and the Services, such as any applicable sign-up fee, taxes and cancellation or late fees, as explained below. Even if you do not use the Membership or access the Site, Venue and/or Services, you will be responsible for Membership Fee and any other applicable fees until you cancel your Membership, or it is otherwise terminated.

    2. Billing. By making payment for your first membership package, you authorise us to charge you for your initial Membership Cycle. We will contact you towards to the end of your Membership Cycle regarding the renewal of your Membership. If you agree to renew your Membership, we will charge you your Membership Fee using the Payment Method at the applicable rate (which we reserve the right to change from time to time) for the next Membership Cycle. You acknowledge that the fees payable for each Membership Cycle may vary due to applicable promotional offers and/or changing to a different membership package.

    3. Membership Cycle. When you sign up and purchase a membership package, the first Membership Cycle will be billed immediately. Unless we expressly communicate otherwise, you will be billed on the same date each month (in the case of payment on a monthly basis) or year (in the case payment on an annual basis upon renewal). We reserve the right to change the timing of our billing (and if we do, we will pro-rate the amounts we charge, as appropriate). In the event your paid Membership began on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. Your Membership Cycle may change due to changes to your Membership such as changes to a different membership package.

    4. Cancellation of Reservation. The cancellation policy of any reservation and purchase may vary depending on the membership package, service / product offering, or other criteria we may communicate to you from time to time. The cancellation policy will normally be provided to you along with the confirmation of your reservation. Any cancellation of your reservation of the Services through the Site must comply with the cancellation policy applicable to the reservation and the Venue. Notwithstanding the foregoing, it is our standard cancellation policy that in the event of a cancellation of your reservation of any Service less than 12 hours prior to the start time of the Service, or in case you fail to show up without a valid reason, it will be deemed as a used credit or a nonrefundable paid service. In the event of a cancellation of your reservation more than 12 hours prior to the start time of the Service, there will be a return of the credit used to your account.

    5. Cancellation of Membership. To notify us of a cancellation, you must send an email to us at connect@morrowmedical.sg (note that social media message, in-person conversations, text or phone call will not suffice) which details your name, email we have on file for you, cancellation date request and reason for cancelling. Once your membership is cancelled, you will lose any existing Credits, the right to access any or all Site content and features, and you will not be able to make reservations or purchase the Services until you sign up or purchase a new membership package. We reserve the right to charge a cancellation fee and any associated service fees, taxes and other charges as required by applicable laws to your Payment Method. There is a 5-working day cooling off period to seek a full refund of any payment made before the provision of any Services to you (“Cooling Off”) that begins, on the date of payment, or where physical access to the Venue has not yet commenced, on the date physical access to the Venue is first granted. You may terminate your Membership by delivering written notice to the email address mentioned above. The following charges are non-refundable in the event the Cooling Off period has expired:

      • all deposits paid;

      • all used Credits / services; and

      • any fees paid to third parties (such as payment processing fees).

      For special rate product offers, additional cancellation terms published on the offer booking page will apply. In the event of any inconsistency or conflict between the special rate product offer terms and the standard terms, the special rate product offer terms shall prevail.

    6. Refunds. Generally, our fees (including any trial or promotion fees, sign-up fee and deposits paid) are non-refundable unless we specifically communicate otherwise at the time of purchase. However, we will provide a refund to members for their current prepaid membership cycle only in the following circumstances: (i) if you are cancelling your membership and request a refund within 5 working days of, the date of your first payment for your membership, or where physical access to the Venue has not yet commenced, the date physical access to the Venue is first granted, or (ii) if your membership is cancelled prior to the end of a cycle for which you have incurred a charge, due to your relocation, disability or death; provided, however, in each case we reserve the right to charge a fee to cover the cost of any Services or other services or products you may have used or received prior to your cancellation and to ask for proof of such changed condition, to the extent permitted by law.

    7. Price Changes. We reserve the right to adjust pricing at any time. Unless we expressly communicate otherwise, any price changes to your membership will take effect on your next Membership Cycle upon notice communicated through a posting on the website, push notification via the MORROW™ mobile application, update on our social media platforms or such other means as we may deem appropriate from time to time, such as via your email.

    8. Payment Methods. You must provide valid credit/ debit card information (such as card type, card number, expiry date and the full name shown on the card) to MORROW Medical. You may choose to save your credit/ debit card details in your account for future use. This is optional and will expedite your future reservations and purchases made via the Site. The collection of your credit/ debit card details is subject to our Privacy Statement. It is your responsibility to update your credit/ debit card details on your account. You may update your Payment Method information by signing in to your account and updating it under your account settings. If a payment is not successfully settled by the due date, due to insufficient funds or otherwise, you will remain responsible for any uncollected amounts and authorise us to continue billing the Payment Method or any other payment method you have provided, as it may be updated, including in the event you attempt to create a new account, reactivate the unsettled account or sign up for a new account. This may result in a change to your payment billing dates. If we cannot charge your account, we reserve the right, but are not obligated, to suspend and/or terminate your access to our Site, the Services or any portion thereof. If your credit/ debit card is invalid or has expired, you may not be able to complete your reservation or make any purchases.

    9. Warranty. By providing your credit/ debit card information, you represent and warrant that (i) you are legally authorised to use the credit/ debit card you provided; (ii) you authorise us to charge you in full for all charges incurred by you and your invited guest (if applicable) or charged to your account for all products and services purchased by you and any damage or loss caused by you and your guest during your visit at the Venue (including without limitation, damage to any equipment, facilities and property); (iii) you authorise us to charge you in full the prepayment or advance purchase at the time of reservation; and (iv) you authorise us to charge any cancellation charges to your Payment Method.

    10. Disclaimer. While all reasonable security measures will be taken to secure your credit/ debit card information, you agree to hold us and our employees and officers harmless and release us from any actions, claims, liability, damage or loss resulting from any loss, release, compromise, or disclosure of your credit/ debit card information caused by malware attacks, phishing attacks, viruses, hacking activities, malicious software and any other unlawful interference of the Site’s operating system or unauthorised access by third parties.

    11. Fees Charged by Venue. In addition to fees we charge, the Venue may also charge equipment or other amenity fees that you will be responsible for directly. Further, the MORROW Platform only gives you access to the Services for which you signed up on the Site (and at the specified time and location). The Venue may charge additional fees for your access and use of other products, services, equipment and facilities.

    12. Third Party Fees. You are also responsible for all third-party charges and fees associated with accessing and using the Site and/or the Services, including fees such as internet service provider fees, telephone and computer equipment charges, sales tax and any other fees necessary to access the Site and/or the Services.

  2. Offers and Promotions
    We, our related companies and third party service providers, may offer discounts and other promotions from time to time, and such discounts and promotions are subject to additional terms and conditions that we or such applicable third parties may provide.

  3. Healthcare Services
    MORROW Medical is licensed to provide outpatient medical services and telehealth services on the Site and at the Venue (“Healthcare Services”) through healthcare providers who deliver the Healthcare Services (“Healthcare Providers”).

    In providing the Healthcare Services through the Healthcare Providers, you acknowledge and agree that:

    • To the extent that we refer third party Healthcare Providers to provide you with Healthcare Services, MORROW Medical is merely a provider of the referral, and shall not be deemed to have provided or engaged in Healthcare Services rendered by such third party Healthcare Providers. Neither MORROW Medical, our related companies, or our Partners shall be liable for any professional advice which you obtain from a third party Healthcare Provider. MORROW Medical, our related companies nor our Partners shall not be liable for any referrals made by a MORROW Medical Healthcare Provider to any third parties, including but not limited to specialists or laboratories.

    • You shall not record or publish (or cause to record or publish) in any form or on any media any interactions with us or any Healthcare Provider, unless you were provided with written consent.

    • You consent for us and the Healthcare Providers to record any interactions with you in accordance with our Privacy Statement and to retain a copy of your health records.

    • MORROW Medical does not, and shall not be deemed to, direct or control the independent clinical judgement or professional opinions of any Healthcare Providers, whether generally or in the Healthcare Provider’s provision of Healthcare Services under these terms. Each Healthcare Provider exercises his or her own professional judgment in the diagnosis, treatment, and care of patients, including in relation to any acts or omissions arising from such clinical decisions.

    • Any opinions, advice, or information expressed by a Healthcare Provider are based on the Healthcare Provider’s independent professional judgment and do not necessarily reflect the views or positions of MORROW Medical, our related companies, or our Partners.

    • You shall (i) comply with any directions or instructions given in relation to any prescription provided to you; (ii) promptly notify us or the Healthcare Provider of any side effects of any medication; (iii) check the labels of the medication prescribed to verify the medication matches the prescription before consuming the medication delivered; (iv) protect anything prescribed to you and not permit any other person access to the prescribed medication; and (v) not use any prescription after its expiry date.

    • You shall comply with any advice by any Healthcare Provider to consult a doctor or other healthcare professional in person or seek emergency or other treatment.

    • The Healthcare Services are intended to be provided to users in Singapore and MORROW Medical and the Healthcare Providers are not licensed and qualified to provide professional advice to users outside Singapore.

    You may select from the following Healthcare Services made available on the Site and/or at the Venue (as the case may be) from time to time:

    1. Health Screening Package(s) pre-booked on Site and/or carried out at the Venue;

    2. Long-term Individual Consultations and Discussion Groups, which may take place over a period of time such as 6 months to 1 year, depending on the Healthcare Provider’s recommendations; and

    3. Ad hoc Individual Consultations with a Healthcare Provider which may follow after a screening session or upon your request.

Health Screening Packages
- Certain screenings may have specific medical prerequisites (e.g., fasting requirements). It is your responsibility to review the FAQs or directions provided at the time of booking.

  • Health Screenings carried out at the Venue are subject to the Venue’s code of conduct and other policies. We reserve the right to refuse service if, in our absolute discretion:

    • You provide inaccurate medical history or if you are not suitable for the screening package selected.

    • You fail to follow pre-screening instructions (e.g., consumed food during a fasting window) or any directions or instructions provided by our staff.

    • You exhibit any behaviour that threatens the safety of yourself, staff or other patients.

  • The provision of a screening report does not, in itself, constitute an ongoing doctor-patient relationship beyond the scope of the screening. Results are indicative and should be reviewed with a qualified medical practitioner for a formal diagnosis. It is your responsibility to ensure that you book an individual consultation with the Healthcare Provider to follow-up on your screening report.

Long-term Individual Consultations and Discussion Groups
If you have made any booking or reservation for a Long-term Group Discussion and/or Individual Consultations, you acknowledge and agree that:

  • As a condition of us providing you with access to the discussion groups, you have to read, understand and sign the Group Consultation Consent Form or such other document that may be provided to you from time to time.

  • Long-term care requires consistent participation. Long-term services, whether delivered as Discussion Groups and/or Individual Consultations, are tailored based on the Healthcare Provider’s initial diagnosis. The duration (e.g., 6 or 12 months) is an estimate based on the Healthcare Provider’s clinical judgment and may be adjusted as the treatment or discussion progresses.

    • Individual Consultations: Sessions must be utilised within the agreed-upon timeframe. Unused sessions at the end of the term do not roll over unless expressly agreed upon in writing.

    • Discussion Groups: These are conducted in collaborative environments in-person at the Venue unless otherwise indicated that virtual / remote sessions through the Site if determined to be suitable. Participants agree to maintain the confidentiality and respect the privacy of other group participants. Breach of any confidentiality is a ground for immediate termination of service without a refund and you hereby indemnify us for any liability, loss, damages, penalty, expenses and costs (including attorney costs) arising out of or in connection with such breach of confidentiality or personal data protection.

    • If the Healthcare Provider determines that the service is no longer clinically appropriate for Group Discussions, the rest of your sessions will be converted into Individual Consultations and additional fees may be applicable.

Individual Consultations
If you have made any booking or reservation for a Long-term Group Discussion or Individual Consultation, you acknowledge and agree that:

  • All Individual Consultations are paid upfront and subject to the Healthcare Provider’s availability and acceptance in his/her sole discretion.

  • All Individual Consultations have to be attended in-person at the Venue unless otherwise indicated that you can select the teleconsultation functionality through the Site if determined to be suitable.

If you are using the teleconsultation functionality for consultations deemed suitable to be conducted in such a manner, you acknowledge and agree that:

  1. You may arrange and schedule video consultations with the Healthcare Providers;

  2. All requests for video consultation shall be subject to the Healthcare Providers’ availability and acceptance in his/her sole discretion;

  3. You shall ensure that (i) the internet connection to which your device is connected is of sufficient quality and strength to host a video consultation; (ii) the video consultation is conducted in a place that is well-lit and private and equipped with the necessary audio-visual equipment; and (iii) provide any information and documents to verify your identity and health condition;

  4. Once your request is accepted, the Site may provide the information and documents which you have provided to us to the Healthcare Provider, in accordance with our Privacy Statement. You agree to provide proof of identity (which includes a valid photo identification) and such information or documents as requested by the Healthcare Provider to verify your identity at the start of or at any time during the video consultation. You acknowledge that you may not be able to access or be provided with the Healthcare Services if you refuse to provide proof of identity or assume a false identity. We and the Healthcare Provider reserve the right to decline any request for video consultation in our or his/her absolute discretion;

  5. You acknowledge that there are inherent limitations to the use of video consultations. Therefore, in respect of emergencies and other medical situations, in person consultations may be a more appropriate medium for medical evaluation, diagnosis and/or consultation;

  6. Where you have a teleconsultation with a Healthcare Provider, you understand and agree that the professional advice provided shall be intended as a provisional opinion (or such second or further opinion) and shall be solely based on information you have provided before or during the video consultation. Such professional advice is not intended to be a substitute for an in-person consultation and/or treatment. It is advisable to seek further clarification, examination, diagnosis and/or an in-person consultation for a more comprehensive medical assessment before beginning any definitive treatment.

As a condition to use the Site and access the Venue, you agree that:

  • you are responsible for the correctness and completeness of the information provided to us and to the Healthcare Provider including your particulars, any existing allergy or medical condition, symptoms, health history, images, documents, test results or diagnostic images furnished/uploaded by you; 

  • you are responsible for providing the correct particulars and information requested to be eligible for any offers, promotions, gifts, or any applicable health insurance or corporate benefits. No refunds will be provided if you proceed with a transaction without the appropriate registration details;

  • you shall be personally liable for, and to pay, any fees or charges in accordance with any terms in effect at the time they are incurred;

  • you shall respectful and conduct yourself in an appropriate manner while interacting with us and the Healthcare Provider, and to only present or provide relevant information or images in relation to the Healthcare Services. Any such disrespectful conduct or inappropriate actions, which we shall determine in our sole discretion, may result in the suspension and/or termination of your account and/or deletion of such information and images from the Site;

  • you shall comply with all terms and conditions, privacy policies and any other FAQs, policies, code of conduct as set out on the Site and at the Venue published by us from time to time and below; and

  • you shall comply with all applicable laws.

MORROW Medical is required to comply with local healthcare, personal data, security and other applicable laws. Any information or documents you provide to the Healthcare Provider is subject to patient-doctor confidentiality.

You agree that to provide you with certain services, we will seek your consent before we collect certain additional personal data including for facial recognition, location tracking, research, to train our AI models and data sharing.

  1. Healthcare Products
    MORROW Medical makes available certain healthcare, allied healthcare and wellness products, services and solutions, including those provided by us and other providers (“Healthcare Products”) at the Venue. Healthcare Products at the Venue may be sold by us, our related companies or such third party suppliers (“Suppliers”).

You acknowledge that:

  • While we endeavour to provide an accurate description of the Healthcare Products, we do not warrant that such description is accurate, current or free from error;

  • The pricing or availability of the Healthcare Products may change at any time at MORROW Medical’s discretion. MORROW Medical shall not be responsible for any such changes;

  • You shall pay the product price, taxes and any other fees (where applicable) for the Healthcare Products and abide by all applicable payment terms as published on the Site or at the Venue from time to time or by MORROW Medical notifying you; and

  • The provision of any Healthcare Product is subject to availability. It is possible that in some instances a Healthcare Product may become unavailable. MORROW Medical may consult with you to replace the unavailable prescribed medication with any suitable substitute after consultation with the Healthcare Provider and you shall be liable for any price difference.

  1. Payment Terms for Healthcare Services and Healthcare Products
    In addition to any Related Terms, the following payment terms shall apply to you in relation to the use and purchase of any Healthcare Services and Healthcare Products:

    • In connection with your use of the Healthcare Services and Healthcare Products, you shall bear the following fees (collectively, the “Fees”):

      • for any consultations with Healthcare Providers, including any long-term group discussions or individual consultations, the relevant fees which shall be calculated based on the rates and/or packages as prescribed by MORROW Medical from time to time;

      • for any screening packages taken up, the screening package fees based on such prices as prescribed by MORROW Medical from time to time; and

      • applicable taxes. 

For the avoidance of doubt, MORROW Medical’s determination of the Fees shall be final, conclusive and binding on you.

If your health plan, insurer, employer or agency has arranged with MORROW Medical to pay the Fees or any portion of the Fees payable to MORROW Medical, or if the Fee payable is pursuant to some other arrangement with MORROW Medical, that fee adjustment will be reflected in the fee that you are ultimately charged.

If your health insurance coverage or employee benefits do not cover or is not sufficient to pay the Fees in full, you may be fully or partially responsible for payment. It is your responsibility to ensure that any Fees charged to your Account can be reimbursed through such health plan, insurer, employer or agency.

All Fees shall be paid in advance and are non-refundable unless it is provided for under any applicable terms as may be notified to you, and you further agree to bear all applicable fees and taxes payable thereon.

For avoidance of doubt, you agree to pay all Fees charged to your account in accordance with the Fees, charges, and billing terms in effect at the time the Fees are due and payable via your Payment Method.

We may use payment processing agents to process your payment of any Fees. When you provide us with your payment details, you authorise us and/or our payment processing agents to charge your Payment Method automatically upon the expiry of each payment period as applicable in relation to the Fees. If we cannot charge your Payment Method successfully, we reserve the right to immediately terminate the transaction and/or suspend access to your account.

In respect of the Healthcare Services and the Healthcare Products, you agree and acknowledge that the following policy applies to you:

  • Unless as otherwise expressly specified on the Site or at the Venue, you will not be entitled to a refund of any and all fees paid (i) in the event that you cancel a scheduled appointment less than 24 hours in advance or if you miss a scheduled appointment or (ii) in respect of any consultation that has either been completed or terminated by you.

  • For any cancellations more than 24 hours in advance, the following cancellation policy applies:

    • If you cancel a scheduled appointment less than 48 hours in advance, you are entitled to a free one-time rescheduling.

    • If you cancel a scheduled appointment more than 24 hours but less than 48 hours in advance, you may be charged an administrative fee to reschedule the appointment.

  • If you are late by less than 20 minutes for any scheduled appointment, we or the Healthcare Provider, at our absolute discretion, may allow you to attend the appointment at the fixed time allocated, or you may opt to be charged an administrative fee to reschedule the appointment.

  • If you are late by more than 30 minutes for any scheduled appointment, you are regarded as a no-show and there will be no refunds of any and all fees paid.

  • Any rescheduled appointments are subject to availability. For any scheduled appointment, the first time rescheduling is free if requested at least 48 hours in advance. Second and subsequent reschedules may incur an administrative fee.

  • To the extent permitted by applicable laws, in respect of the purchase of any Healthcare Products, unless as otherwise expressly specified at the Venue:

    • where applicable, the purchases are subject to our additional policy / FAQs on refunds and cancellations (where applicable) as published or notified to you from time to time;

    • Any requests made for exchanges or refunds are only allowed if the Healthcare Products are damaged or expired, or where the Healthcare Service rendered was not in accordance with the description at the Venue which shall be subject to MORROW Medical’s review on a case-by-case basis. In such an event, MORROW Medical may request for such supporting information and documents from you and you agree to cooperate in good faith. The decision to allow any exchange or refund is subject to MORROW Medical’s sole discretion.

  • In the event you are entitled to any refund for any reason in respect of any products or services on the MORROW Medical Platforms, you agree that MORROW Medical will in its sole discretion either (i) issue you with a refund to your account where any Credits are used or (ii) where the purchase was made using your Payment Method, credit the refund to the same Payment Method.

  • To the extent permitted by applicable laws, MORROW Medical is not responsible for any loss you have incurred as a result of any delay or failure to provide any exchange or refund to you.

  1. Use of the Venue and facilities
    All users of the Venue or any facilities to must abide by any additional terms such as FAQs, code of conduct, policies or other rules imposed by us. MORROW Medical and the Venue providers reserve the right to refuse admittance to or remove persons from the Venue or suspend use of any facilities for failure to comply with such additional terms. 

    We reserve the right, at our sole discretion, to terminate, restrict, or suspend your access to the Venue or any facilities at any time, without any liability to you or any other person, for any reason including but not limited to operational needs or unforeseen circumstances.

    MORROW Medical reserves the right to cancel your scheduled appointment and release your reservation to use and access the Venue or any facilities if you do not arrive within 20 minutes after the start time.

    MORROW Medical reserves the right to cancel your scheduled appointment 24 hours prior to the start time if there are insufficient persons attending any group activity or class which you have reserved.

    You are advised not to bring expensive jewellery, precious goods or excessive amounts of cash to the Venue and you do so at your own risk. Please ensure that all items of value are always stored securely and not left unattended. To the extent permissible by law, we will not be liable for any loss of or damage to any property brought onto the Venue. In the event that we are found to be liable for any such loss or damage, we shall not be liable for such loss and damage to an amount exceeding the last Subscription Cycle bill you paid to us, to the extent permitted under the applicable laws.

  2. Intellectual Property
    Other than the exceptions specifically referenced in these Terms, all content on the Site is the property of MORROW Medical or the referenced third party, or is licensed and/or used with permission by MORROW Medical including, but not limited to, all proprietary information, content and materials, such as text, data, documents, messages, pictures, images, video, audio, graphics, links, icons, logos, designs, copyright, patents, trademarks, get-up, logos, trade names,  software codes and technologies or other electronic files (collectively, “Site Content”). No licence is granted in respect of those intellectual property rights. Your use of the Site does not grant, transfer to or confer upon you any right, title or interest in the Site Content.

    The owners of Site Content are intended beneficiaries of this Agreement and shall have the right to enforce this Agreement against you.

    You agree that you will not use the Site Content in any way whatsoever except for use of the services available on the Site in compliance with the Terms. The Site may only be used for personal and non-commercial purposes.  You must not print, copy, modify, publish, reproduce, distribute, re-transmit, transfer, upload, download, store, display in public, sell, licence, reverse engineer, decompile, or disassemble the Site Content without the prior written consent of MORROW Medical, save and except to the extent permitted by copyright laws and/or for the downloading and printing of the Site Content for personal record-keeping purposes only.

    You must also not engage in any conduct that infringes, violates or misappropriates any intellectual property rights of MORROW Medical or any other party, and such infringement, violation or misappropriation shall amount to a breach of the Terms.

    No permission or authorisation is granted to you to use, or permit others to use our icons, site addresses, or any other means to hyperlink other Internet sites with any page in the Site unless specifically permitted by us in writing.

    You can send your comments, suggestions, ideas, or feedback concerning the Site or any of the services made available to you on the Site or to our staff at any physical locations (“Feedback”). You agree that if you provide any Feedback to us, we will own all right, title and interest in and to the Feedback, even if such Feedback is provided in confidence. We will be entitled to use the Feedback without restriction. You irrevocably assign to us all right, title and interest in and to the Feedback and agree to provide us with any assistance we may require to document, amend and maintain our rights in any Feedback.

    We and/or the owners of any Site Content may, from time to time, remove any content from the Site without notice and liability to you.

    The Site may contain information on or links to third party websites (whether through hyperlinks to third party websites or otherwise) that are subject to the relevant terms and conditions of the third party owners. These links are provided solely for your convenience and do not indicate, expressly or impliedly, any guarantee, endorsement or recommendation by us for the linked websites or the products or services provided at those websites.  Please note that we are not responsible for the content of such websites or for the collection, use, maintenance, sharing, or disclosure of data and information by such third parties. Your access to any such websites is at your own risk and we advise you to check the terms and conditions and privacy policies of those other websites before using them and disclosing your personal data.

    If you click on these links, you will leave the Site. If you access the linked sites, you will be subject to the terms of use and other policies applicable to those linked sites. You visit the linked sites at your own risk and should consult the linked websites’ policies. Occasionally when linking to another website, you may still see the Site’s logo or frame. This is to provide you with a seamless experience when visiting the Site. In such cases, you are no longer on the Site and you should only link to a third party website if you are willing to accept responsibility for and the risks associated with, use of that website.  You will always know what website you are on by checking the location bar within your browser.

  4.   Prohibited Conduct
    The following conduct is strictly prohibited in connection with accessing or using the Site:

    • Harass, threaten, stalk, disrupt or defraud users, members or staff of MORROW Medical or any other person, or otherwise create or contribute to an unsafe, harassing, threatening or disruptive environment;

    • Act in a deceptive or fraudulent manner by, among other things, impersonating another person or access another user’s account or signing up for more than one account;

    • Share your account information including passwords with any third party or encourage any other user to do so;

    • Permit third parties to use any services booked under your own membership, including other users;

    • Reserve or cancel any services directly with a Venue, rather than through the Site;

    • Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of the Site or the Site Content;

    • Misrepresent the source, identity, or content of information transmitted via the Site, including deleting the copyright or other proprietary rights or notices from any portion of the Site or the Site Content;

    • Upload material (e.g. virus) that is damaging to computer systems or data of MORROW Medical or users of the Site or otherwise use the Site in any manner that could damage, disable, overburden, or impair it or interfere with any other party’s use and enjoyment of the Site;

    • Upload material that is not your own or that you do not have the legal right to distribute, display, and otherwise make available to others;

    • Upload or send to Site users pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content;

    • Decompile, reverse engineer or disassemble the Site, in whole or in part, except as may be permitted by applicable law;

    • Link to, mirror or frame any portion of the Site;

    • Cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Site or unduly burdening or hindering the operation and/or functionality of any aspect of the Site;

    • Attempt to gain unauthorised access to or impair any aspect of the Site and/or MORROW Medical’s computers, servers or networks, and/or any computers or systems used by other users of the Site, including but not limited to, circumvent Site security features or interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site;

    • Download any software from the Site unless such process is required and approved by MORROW Medical as part of using the Site;

    • Impose an unreasonable or disproportionately large network strain or denial-of-service attack on, or engage in any behaviour that disrupts the operation or performance of, the Site or MORROW Medical’s computer and/or network infrastructure;

    • Hack into or gaining unauthorised access to protected areas of the Site and/or MORROW Medical’s computers, servers or networks, and/or any computers or systems used by other users of the Site, including but not limited to, circumventing Site security features;

    • Make unsolicited offers, advertisements, proposals, or send junk mail or “spam” to users;

    • Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Site, any features that prevent or restrict use or copying of any content accessible through the Site, or any features that enforce limitations on the use of the Site or the Site Content;

    • Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site;

    • Modify the Site in any manner or form, nor to use modified versions of the Site, including (without limitation) for the purpose of obtaining unauthorized access to the Site;

    • Use any robot, spider, scraper, or other automated means to access the Site and data for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site;

    • Use the Site for or in connection with any purpose that is unlawful or prohibited by these Terms; and/or

    • Violate or encourage anyone else to violate, any applicable laws or regulations.

  5. Suspension or Termination by MORROW Medical
    If you fail to comply with these Terms, without prior notice and without any liability to you or any other person, we reserve the right to take all or any of the following actions:

    1. cancellation or modification of your reservation(s) or transaction(s);

    2. issuance of a warning to you;

    3. termination, restriction or suspension of your use of or access to any or all part of the Site and the Services, and/or bar any further access to your account information and the Site / Services. This includes the right to terminate or modify any subscription prior to the end of any pre-paid or committed period;

    4. commencement of legal action against you; or

    5. disclosure of information about you to law enforcement authorities as we may determine in our sole discretion.

The above is not exhaustive. We may take any other action in our absolute discretion. 

We shall have no liability for, and you shall have no recourse for, any such termination or deactivation, except as set forth in the following sentence. If you are member, then upon any such termination by us without cause, as your sole recourse, we will issue you a pro rata refund of the prepaid portion of your subscription applicable to future unused services (less any fees or costs for services already used).

For completeness, if we determine that you have failed to comply with these Terms or otherwise engaged in illegal or improper use of your membership, Venue, Services and/or the Site, you will not be entitled to any refund and you agree that we will not be responsible to pay any such refund. You agree that we and our third party service providers will not be liable to you or any third party for any termination or modification to the service regardless of the reason for such termination or modification. You acknowledge that your only right with respect to any dissatisfaction with any modification or discontinuation of service made by us is to cancel or terminate your subscription. If we delete your account for these reasons, you may not re-register for or use the Site and/or Services under any other user name, email, payment method or profile. We may block your access to the Site to prevent re-registration.

MORROW Medical reserves the right in its sole discretion, without notice and reason, to refuse service, remove or edit content on the Site, cancel orders or reservations, disable the Site and any or all of its features, or terminate your membership and access to the Site. This includes the right to not give any effect to any reservation or orders you make through the Site. You agree that MORROW Medical is not liable to you or any other third party for these actions. 

  1. Indemnity
    You agree to indemnify and keep us, our parent company, subsidiaries, affiliates, officers, directors, representatives, employees and agents indemnified from and against any liability, loss, claim, dispute, demand, damage or cost (including without limitation legal fees) arising out of or in connection with your misuse of the Site, Services, violation of these Terms, violation of applicable laws, violation of the rights of any other person or entity, or any breach of any information or content which you submit, post, transmit, communicate, send, publish, upload or otherwise make available, or any action taken by us either as part of our investigation of any suspected breach of these Terms or as a result of our finding or decision that a breach of these Terms has occurred.

  2.   Disclaimer of Warranties; Limitation of Liability
    In relation to the Healthcare Services and the Healthcare Products and to the maximum extent permitted by applicable laws, you irrevocably agree and acknowledge that:

    • we do not warrant or make any representations that the Site is the appropriate channel of consultation for your particular healthcare issues, or meets your specific requirements. MORROW Medical disclaims any liability for any use of the Site for the provision of any emergency services or where diagnosis or treatment-in-person is required. You should also consult a doctor in person or contact your local emergency services immediately if your medical condition is not minor or cannot be diagnosed or treated without a physical consultation, or otherwise falls within the following scope of conditions including: (i) urgent care or emergency conditions; (ii) serious conditions (e.g. breathlessness, severe or persistent pains, cardiac arrest); (iii) chronic conditions which have not been previously diagnosed by a doctor; (iv) any condition deemed during a video consultation via the Site to be in need of a physical consultation for further clarification, examination, diagnosis and/or treatment; (v) any condition requiring further investigations including but not limited to laboratory tests, and imaging modalities; (vi) conditions that cannot be adequately assessed through teleconsultation (e.g. suspected stroke or pneumonia); and/or (vii) require specific types of medication (e.g. controlled drugs, medication with addictive potential such as codeine-containing products, opioids, hypnotics or benzodiazepines); (viii) conditions requiring specialist procedural intervention (e.g., endoscopy, interventional cardiology, surgical consultation); (ix) acute psychiatric emergencies including suicidal ideation, acute psychosis, or severe behavioral disturbance; (x) infectious diseases requiring isolation or notification to authorities under the Infectious Diseases Act; (xi) conditions in patients under 18 years of age (xii) pregnancy-related medical conditions requiring obstetric care; (xiii) acute toxicology or overdose situations.

    • you may be issued with a prescription for medicine by a Healthcare Provider and may be prompted to use delivery services for delivery or fulfilment of prescription medicines. You are under no obligation to purchase any prescribed medication. The Healthcare Provider will prescribe medicine appropriate for your condition based on the medical history you have provided and the symptoms you have described. MORROW Medical shall not be responsible for (i) ensuring that you receive the medicine you are prescribed or that the medicine you receive is the same as that prescribed by Healthcare Provider; and (ii) any instructions in relation to the medication provided by the Healthcare Provider or anyone else associated with the provision of medication you have been prescribed;   

    • we are not responsible for any of the information made available or accessed on or through the Site or at the Venue or any decisions made by you based on any information made available or accessed on or through the Site or at the Venue;

    • we do not endorse or recommend any specific tests, physicians, products, procedures, opinions, or third parties, or other information that may be mentioned on the Site or at the Venue and that any arrangement entered into between you and any Healthcare Provider or any third party named or linked to or from the Site is at your sole risk and responsibility. The inclusion of Healthcare Providers on the Site or at the Venue and any referrals to any third party does not imply recommendation or endorsement of such party nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any professional or service provider contained therein;

    • we are not responsible for any acts or omissions or conduct of any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site or the Venue, including but not limited to referrals to any specialists or laboratories;

    • the Site (together with any Services, or other content, material or information available on the Sites and/or Application) are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. Your use of the Site and/or the Venue is at your own risk;

    • the Site may use transmissions over the Internet which are never completely private or secure. You understand that any personal data, message or information which you send in the course of the use of the Site may be made public on the Site, and read or intercepted by others

MORROW Medical, its affiliates and its Partners are not liable for:

  • the potential and inherent risks associated with remote medical consultation and prescription through a device, including without limitation: (i) the information transmitted by you or the Healthcare Provider may not be sufficient or accurate (e.g. poor lighting or sound) to allow for appropriate healthcare decision making, thus necessitating consultation with a doctor in person; (ii) reliance on self-measurement and reporting of symptoms, including body temperature, blood pressure and weight, may result in inaccurate evaluation and diagnosis; (iii) a lack of access to all your health records; and/or (iv) software, hardware, or data transmission problems or failures may impede, or cause disputes or delays in, evaluation, diagnosis or treatment;

  • any loss caused to or damage incurred or suffered by you or any person by reason of or arising from or as a consequence of any unauthorised use of your account and/or the Site, Venue or Services, performing any transactions, purchase and/or arrangement of delivery of product, and obtaining and/or making any payment of any monies belonging to you;

  • any loss caused to or damage incurred or suffered by you or any person by reason of your erroneous, wrongful or fraudulent uploading of information, images, laboratory test results or diagnostic images, or provision of information by you to the Site or the Healthcare Provider for the purposes of your use of the Site or the Services;

  • any loss, damage or liability which may arise in connection with the services offered by any third parties that you may be referred to by MORROW Medical and/or its related companies or via the Site, including services provided by the Healthcare Providers, any specialists or laboratories;

  • personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, corruption or loss of data, failure to transmit or receive any data, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Site or any third party software or applications in conjunction with the Site, howsoever caused, regardless of the theory of liability (contract, tort or otherwise) and even if we have been advised of the possibility of such damages;

  • for the actions or inactions of any providers of Services in relation to you, your activities or for or in connection with Services; and

  • any suspension, discontinuation, upgrade or modification to the Site or its functionalities which we may carry out from time to time without giving any reason or prior notice to you which affects your use of the Site and the Services.

MORROW MEDICAL DOES NOT WARRANT AND HEREBY DISCLAIMS ANY REPRESENTATION, WARRANTY OR TERM WITH RESPECT TO THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO (I) MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS, OR AS TO THE ACCURACY, CORRECTNESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT OF OR COMPLIANCE WITH ANY LAWS, REGULATIONS AND/OR THIRD PARTY RIGHTS IN CONNECTION WITH THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES; (II) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING AVAILABLE AT ALL TIMES, UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE OF ALL VIRUSES AND/OR OTHER HARMFUL ELEMENTS; (III) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES AND ANY RELATED COMPUTER SYSTEM IS AND WILL BE FREE FROM ANY UNAUTHORISED ACCESS, INTERVENTION, HACKING, SABOTAGE, FRAUD OR INFILTRATION BY THIRD PARTIES; AND (IV) THE SITE, SERVICES AND/OR ITS FUNCTIONALITIES AND FEATURES BEING COMPATIBLE OR WORKING WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS, DEVICES OR THIRD PARTY SERVICES.

IN NO EVENT WILL MORROW MEDICAL, ITS AFFILIATES OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, BE LIABLE FOR ANY LOSSES, DAMAGES AND LIABILITIES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ACTUAL, OR OTHER INDIRECT DAMAGES, INCLUDING LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES EVEN IF MORROW MEDICAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES, ARISING OUT OF ANY MATTERS OR CLAIMS YOU MAY RAISE RELATING TO THE SITE AND/OR PURCHASE OF, PARTICIPATION IN, AND/OR USE OF ANY SERVICES) INCLUDING BUT NOT LIMITED TO WITH RESPECT TO BODILY INJURY, PHYSICAL HARM, LOSS, ILLNESS, DEATH OR PROPERTY DAMAGE. 

IN NO EVENT WILL THE COLLECTIVE LIABILITY OF MORROW MEDICAL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR RELATED PARTIES, EXCEED THE GREATER OF SGD 50 OR THE AMOUNT YOU PAID TO MORROW MEDICAL, IF ANY, FOR THE APPLICABLE SERVICE OUT OF WHICH THE LIABILITY AROSE.  IF ANY OF THE LIMITATIONS CONTAINED HEREIN ARE CONTRARY TO APPLICABLE LAW (SUCH AS, CONSEQUENTIAL, OR INCIDENTAL DAMAGES), MORROW MEDICAL’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW.

For avoidance of doubt, the exclusions and/or limitations of liability in these Terms shall not apply to the extent that such exclusions and/or limitations are prohibited by applicable law, including liability for death or personal injury arising from MORROW Medical’s negligence.

  1. Marketing Communications
    By using this Site, you consent to receiving direct marketing and promotional communications from us. Accordingly, we will send you either via emails, SMS messages, push notifications, telephone calls, post, or social media (e.g. Instagram and Facebook) marketing and promotional information that we think may be of interest to you. You may opt-out from receiving further marketing communications from us at any time by following the unsubscribe instructions contained in the marketing communications.

    Except as limited by our Privacy Statement or applicable laws, with respect to all communications you make to MORROW Medical, such as through telephone calls or emails sent via the “Contact Us” link and including but not limited to Feedback or questions: (1) you have no right of confidentiality in your communications; (2) we have no obligation to protect your communications from disclosure and are free to reproduce, disclose and distribute your communications to others; and (3) we are free to use any ideas, concepts, know-how, content or techniques contained in your communications for any purpose whatsoever, including but not limited to the development, production and marketing of products and services that incorporate such information.

    When you make an appointment with us, the Healthcare Provider and other service providers will have access to certain information about you, such as your name and email address, so it can provide services to you, communicate with you regarding the Services you reserved and send you other communication that may be of interest to you such as marketing offers.

  2. Governing Law; Dispute Resolution
    Any disputes relating to these Terms, the Site and the Services are governed by, and will be interpreted in accordance with, the laws of the Republic of Singapore, without regard to any conflict of laws provisions.  You irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the courts of the Republic of Singapore for any litigation or disputes arising out of or relating to the use of the Site, waive any objection to the venue of any such litigation or disputes in Singapore courts, and agree not to plead or claim in any Singapore court that such litigation brought therein has been brought in an inconvenient forum.

  3.   Miscellaneous
    If any part of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms, all of which will remain in full force and effect. The invalidity of any term is limited to the jurisdiction where such term was deemed to be invalid.

    No waiver of any of these Terms by MORROW Medical is binding unless authorised in writing by an executive officer of MORROW Medical. In the event that MORROW Medical waives a breach of any provision of these Terms, such waiver will not be construed as a continuing waiver of other breaches of the same nature or other provisions of these Terms and will in no manner affect the right of MORROW Medical to enforce the same at a later time. Further, in the event we choose to grant an exception to these Terms, any such exception is in our sole discretion and does not entitle you or anyone else to any exceptions in the future for similar circumstances.

    In addition to any sections with specific language regarding survival, the proprietary rights, disclaimer of warranties, representations made by you, indemnities, and limitations of liability shall survive the termination of these Terms.

    These Terms, the Related Terms and any additional terms and conditions as incorporated herein as each may be amended from time to time, form the entire agreement between you and MORROW Medical relating to the subject matter herein.

    By clicking “CONFIRM PURCHASE,” “SUBMIT”, “DOWNLOAD”, “PLACE MY ORDER”, “I ACCEPT” or such similar links, it constitutes your agreement and intention to be bound by these Terms and the Related Terms. You hereby waive any rights or requirements under any applicable laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of Credits by other than electronic means.

    Neither MORROW Medical, our related companies nor any third party service providers shall be liable for delay in performing obligations or for failure to perform obligations under these Terms if the delay or failure resulted from events, causes and circumstances beyond its reasonable control, including but not limited to, acts of God, governmental acts (including directives issued by regulators and amendments to legislation), shut down or failure of telecommunications facilities or networks, failures or acts of application distributors, failure of information technology or telecommunications equipment or facilities, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, epidemics, flood, fire, explosion, accident, civil commotion, industrial dispute, or impossibility of obtaining materials.
